Vice President, Corporate Securities Legal Counsel

Realty Income is looking for a Vice President, Corporate Securities Legal Counsel to join our in‑house legal team. In this role you will support and report to the company’s Senior Vice President, Associate General Counsel, and Assistant Secretary. You will work autonomously and independently on matters within its purview, providing operational support for the Company’s corporate function. Responsibilities Primary areas of responsibility include: Corporate and Securities Matters Assist with U.S. Securities and Exchange Commission reporting and listing requirements, including oversight of all Section 16 filings and the annual meeting process. Provide and manage the legal and compliance review of the Company’s website, social media campaigns, press releases, and other similar disclosures. Horizon scan the evolving regulatory landscape that may impact the Company’s U.S. SEC filings and NYSE listing requirements. Support board and governance related matters, including preparation of materials, special projects, research, and other tasks on request. Support the U.S. Corporate Secretary function, including oversight of U.S. entity management and accuracy of the entity management database; coordinate with corporate paralegal and assist with KYC and due diligence. Collaborate with Corporate Finance on capital market activities, including hedging and other derivative transactions. Support various corporate initiatives and transactions such as mergers and acquisitions, joint ventures, and other corporate transactions. Maintain and establish desktop procedures, templates, checklists, and documents for the corporate legal department, and streamline workflow through technology and process improvements. Sustainability Reporting Provide and manage the legal and compliance review for domestic and international sustainability regulatory filings, disclosures, and related initiatives. Assist in the preparation and filing of such disclosures independently with internal and external teams. Horizon scan regulatory changes that may affect global sustainability filings and disclosures. Leadership Act as a proactive leader, demonstrating independent and autonomous work. Provide direction and support to corporate paralegal(s), fostering a collegial and professional environment focused on accuracy, efficiency, and development. Communicate and collaborate effectively with realty income team members and other legal team members. Develop, oversee, and monitor applicable budget(s). Qualifications Juris Doctorate from an accredited U.S. law school with strong academic credentials. Active membership in good standing in the State Bar of the state of employment. At least 10years of relevant legal experience, including direct experience in corporate, securities, and other strategic corporate transactions and capital‑market activity. Preferred: at least 7years of experience in U.S. public company reporting, corporate contracting, and entity formation at a large U.S. law firm within its corporate and securities group. Preferred: experience with U.S. and/or international sustainability reporting, including voluntary and regulatory reporting. Location & Hours Remote position for candidates outside San Diego. For San Diego applicants, the position is based in our San Diego (Del Mar Heights) headquarters. Monday through Thursday are in‑office for collaboration, with the opportunity to work remotely on Friday. Compensation & Benefits Base pay range: $198,878 – $244,246 – $304,889. Eligible for an annual discretionary bonus and an annual discretionary stock award.
