Capital Markets Associate

Katten, a global Am Law 100 law firm, seeks a highly qualified associate to join its Capital Markets Practice Group within the Corporate Department. Requirements 3‑5 years of public securities and general corporate work experience at a nationally recognized law firm. Experience representing public and private companies, investment banks and/or investors with respect to securities offerings, 1934 Exchange Act reporting and compliance, and corporate governance. Drafting and participating in the negotiation of key legal documents for corporate and securities transactions, including registration statements, offering memoranda, registration rights agreements, and stock purchase and subscription agreements. Experience working on matters involving non‑U.S. companies and/or strategic transactions for public companies (e.g., mergers and going‑private transactions) is a plus. Excellent academic credentials, strong drafting, analytical and writing skills, and a client‑team focused approach.
