Direct Counsel is seeking a Structured Finance Associate Attorney to join a prestigious global law firm’s Financial Markets practice in its New York, New York office.

The ideal candidate will have 3–6 years of experience at a major law firm handling structured finance or securitization transactions. This role involves sophisticated transactions across a range of asset classes and products, including warehouse financings, receivables programs, asset-backed lending facilities, collateralized loan obligations (CLOs), and other structured credit products.

Candidates should have experience representing issuers, investors, trustees, underwriters, and/or other market participants, along with a strong understanding of structured finance documentation and transaction mechanics.

Qualifications:

• 3–6 years of experience at a major law firm working on structured finance or securitization transactions.

• Experience drafting and negotiating indentures, pooling and servicing agreements, receivables purchase agreements, warehouse lending facilities, or similar structured finance documentation.

• Familiarity with securitized asset classes, such as consumer and commercial loans, trade receivables, mortgage loans, auto loans and leases, or esoteric assets.

• Understanding of credit enhancement structures, cash flow waterfalls, and payment priority mechanics.

• Excellent drafting and analytical skills, superior academic credentials, and strong attention to detail.

• Ability to manage significant client responsibility, oversee deal execution, and collaborate effectively with colleagues.

This opportunity offers exposure to complex cross-border financial transactions and collaboration across capital markets, derivatives, and regulatory practices.

Salary Range: $260,000–$495,000, commensurate with qualifications and relevant experience.
