What You’ll Do

• Prepare and maintain organizational documents for venture funds and emerging companies
• Prepare partnership and limited liability company agreements, side letters, transfer agreements, admission agreements, and amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations related to fund formations, and prepare and file required notices
• Conduct due diligence document reviews and assist with opinions and supporting backup
• Handle SEC compliance reporting for venture fund clients' public company stock portfolios
• Manage timekeeping and administrative responsibilities promptly and accurately

What You’ll Bring

Required:

• Bachelor's degree
• Minimum of 5 years of paralegal experience, preferably in fund formation
• Ability to bill a minimum of 1,600 hours annually
• Availability to work overtime as required
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm technology
• Excellent writing, proofreading, and communication skills with strong attention to detail
• Ability to prioritize, work independently and as part of a team, and stay flexible in a fast‑paced, deadline-driven environment

Especially Helpful

• A paralegal certificate is a plus, and hands‑on experience with venture fund formation will stand out.
