ROLE SUMMARY Corporate Counsel is a hands‑on legal professional who supports the organization across a broad range of legal, regulatory, and risk matters in a fast‑paced professional services environment. This role assists the General Counsel in providing practical, business-oriented legal guidance across a broad range of legal, regulatory, and risk matters, with a particular emphasis on contracting and corporate governance. This position is based in person in either New York City, NY, Boston, MA, or Henderson, NV, and requires on‑site presence five days per week. The Corporate Counsel reports to the General Counsel. The ideal candidate embraces technology and AI tools as force multipliers for legal work and is eager to leverage platforms such as Microsoft 365, Copilot, ChatGPT, Claude, and Gemini to drive efficiency and innovation. ROLE AND RESPONSIBILITIES Aid the General Counsel in advising business leaders on corporate, operational, and regulatory matters. Draft, review, and negotiate a wide range of contracts and agreements, including client engagements, vendor agreements, and strategic arrangements Support corporate governance activities, including entity management, board‑related matters, and internal governance practices Provide legal support across a broad spectrum of issues, including: U.S. and international employment and operational matters (local laws, taxes, permits) Support restructuring‑related legal matters, including Chapter 11 engagements and related regulatory matters. Fiduciary, expert, and advisory engagement contracting and negotiation NDA drafting and negotiation Support the General Counsel in managing litigation, disputes, and claims, including coordination with outside counsel. Perform legal research and prepare clear, concise written analyses and recommendations for executive audiences Collaborate cross‑functionally with P&O, Finance, Operations, Matters, Compliance, and other stakeholders Assist with legal aspects of mergers, acquisitions, and post‑acquisition integration activities Support legal aspects of investigations, ediscovery, and Microsoft Purview administration of same QUALIFICATIONS / IDEAL CANDIDATE Juris Doctor (JD) from an accredited law school required Active membership in good standing with at least one U.S. State Bar required 4–6 years of relevant legal experience in a law firm and/or in‑house legal role Demonstrated experience with contract drafting, review, and negotiation Demonstrated experience supporting corporate governance activities, including entity management and internal governance matters Experience advising on a wide range of legal issues Exposure to restructuring, insolvency, fiduciary, or court‑mandated matters (e.g., Chapter 11 or receivership proceedings) is preferred Experience at an AmLaw 100/200 law firm or in‑house at a reputable professional services, advisory, or consulting firm is strongly preferred Strong proficiency with Microsoft 365 (Word, Excel, Outlook, Teams, SharePoint) required; demonstrated experience with AI tools (Microsoft Copilot, ChatGPT, Claude, Gemini) and legal technology platforms (CLM, e‑billing, matter management) is strongly preferred Core Competencies Business‑minded legal judgment:Balances legal risk with practical, solutions‑oriented advice aligned to business objectives Ability to operate at pace: Comfortable managing a high volume and wide variety of legal questions in a fast‑moving, complex environment Technology and AI fluency: Embraces AI as essential to modern legal practice; actively seeks opportunities to leverage technology to improve efficiency, accuracy, and outcomes Adaptability and flexibility: Handles ambiguity well and adjusts quickly as priorities shift across different legal issue areas Strong ownership mindset: Takes accountability for matter send‑to‑end and follows through with minimal direction Clear and concise communicator: Explains complex legal concepts in plain language to senior leaders and non‑legal stakeholders Collaborative approach: Works effectively with senior leadership and cross‑functional partners across the organization EEO & LEGAL COMPLIANCE STATEMENT Province, LLC is an Equal Opportunity Employer.
