Associate General Counsel – M&A, Private Credit & Corporate Transactions
A rapidly growing investment management and specialty finance platform is seeking an experienced Associate General Counsel to join its legal leadership team. This is a highly visible role offering the opportunity to work directly with executive leadership on sophisticated M&A, corporate, transactional, governance, and regulatory matters supporting both lending and investment management businesses.
This position is ideal for a senior attorney who enjoys taking ownership of complex legal matters, partnering closely with business leaders, and serving as a trusted advisor in a fast-paced, entrepreneurial environment.
What You'll Do:
- Lead and support mergers, acquisitions, joint ventures, strategic investments, and other corporate transactions from structuring through closing
- Advise on corporate governance matters, including entity formation, board and equity issues, and ongoing management of portfolio companies
- Provide legal support to private investment funds and investment advisory operations, including fund governance and regulatory matters
- Draft, review, negotiate, and manage a broad range of commercial agreements, including: NDAs, Vendor and service agreements, Engagement letters, Statements of Work (SOWs)
- Conduct legal due diligence and provide practical guidance on transactional risk
What We're Looking For:
- J.D. from an accredited law school with an active U.S. bar license
- Approximately 8+ years of corporate legal experience, ideally combining law firm training with in-house experience in investment management, private credit, private equity, or financial services
- Strong background in M&A, equity transactions, corporate governance, and complex commercial transactions
- Experience advising investment funds, investment advisers, or alternative asset managers is highly desirable
- Exposure to specialty finance, asset-based lending, structured finance, or other secured lending products is a plus
- Strong understanding of securities regulations, corporate governance principles, and transactional risk management
