Job Description: We’re looking for a full‑time Capital Markets Attorney with strong Equity Capital Markets (ECM) experience to join our clients' legal team on‑site in New York City. This role is ideal for someone who understands the fast‑paced nature of equity offerings and brings a strong transactional background to support the execution of public and private equity deals. Candidates must be NYC‑based and available to work on a hybrid in‑office schedule. Responsibilities: Provide legal support across a range of equity capital markets transactions, including IPOs, follow‑ons, PIPEs, and block trades. Partner closely with bankers, issuers, and internal teams to manage deal flow and execution. Review, draft, and negotiate offering documents, underwriting agreements, and disclosure materials. Advise on regulatory and compliance matters, including SEC, FINRA, and stock exchange rules. Work cross‑functionally with internal legal, compliance, and business teams to navigate deal‑specific issues and maintain execution excellence. Minimum Qualifications: JD with strong academic credentials and active bar membership in good standing. Extensive experience working on equity offerings and public company transactions, ideally from a top‑tier law firm or in‑house at a financial institution. Deep understanding of U.S. securities laws and regulations governing capital markets transactions. Proven ability to manage multiple deals and stakeholders in high‑pressure environments. Strong drafting, analytical, and problem‑solving skills. Preferred Skills: Prior in‑house legal experience in investment banking or capital markets. NYC‑based and comfortable with a hybrid in‑office work arrangement. Familiarity with cross‑border equity offerings or emerging growth companies is a plus. Ability to work independently while collaborating effectively across teams. Compensation, Benefits & Location: This role offers a range of competitive compensation starting at $150k and adjusted to take location and years of experience into consideration.
