Fractional Chief Financial Officer

Accountability

The Fractional CFO reports to the Chief Executive Officer. This executive delivers breakthrough financial performance through effective financial leadership, accountability, and strategic guidance, so the Company achieves its financial and growth objectives.

Duties/Responsibilities

1. Strategy & Leadership
   • Develops and executes the Company's financial strategy with the CEO and Executive Leadership Team, focused on growth and capital formation.
   • Co-creates and facilitates strategic financial planning with the leadership team.
   • Balances rapid growth with financial discipline, liquidity, risk management, and sustainable capital allocation.
   • Creates teamwork with fellow Accountables on the Executive Leadership Team to accomplish the Company's financial and strategic outcomes.
   • Accountable for and drives the organization's short- and long-range financial outcomes.
   • Committed to the organization's mission, vision, and values.
2. Capital Raising & Investor Relations
   • Leads the capital-raising strategy: identifies, evaluates, and pursues equity, debt, project finance, strategic investment, and other capital to fund growth.
   • Advises internally on models and projections supporting capital raising and strategic decisions.
   • Prepares the Company, with the CEO and leadership team, for investor discussions, financing processes, due diligence, term-sheet negotiations, and transaction execution.
   • Recommends the optimal capital structure for capital raises and the revenue model, weighing cost of capital, dilution, risk, liquidity, and growth requirements.
   • Builds and maintains strong relationships with capital partners and lenders.
3. Financial Function & Controls
   • Accountable for the financial function: FP&A, budgeting, forecasting, cash-flow management, financial reporting, and financial controls.
   • Establishes financial controls, processes, reporting systems, and policies that support sustainable growth and investor confidence.
   • Ensures financial reporting and practices comply with accounting standards, legal requirements, financing agreements, and industry best practices.
   • Owns relationships with accountants, auditors, tax professionals, and other advisors.
4. Reporting & Accountability
   • Provides accurate, current visibility into financial position, cash requirements, forecasts, financing activities, and overall performance.
   • Is the source of complete, current status on financial performance, cash position, capital-raising activities, financing pipeline, and financial risks.
   • Presents forecasts, performance updates, capital requirements, and strategic recommendations to the CEO, leadership team, and others.
   • Plans actions and conversations sufficient to complete the financial outcomes and capital commitments promised to internal and external stakeholders.
   • Performs other related duties as assigned by the CEO.

Qualifications/Required Experience

• Education & Experience
  • Bachelor's degree in finance, accounting, economics, business, or related field; MBA, CFA, CPA, or other advanced qualification preferred.
  • 10+ years as a CFO, or a mix of financial accountability and startup capital raising, in renewables, funds, infrastructure development, or a related field.
  • Verifiable track record of three (3) successful capital raises, including personally leading or playing a key role in completed seed or Series A equity rounds.
  • Own active network of seed, angel, family office, or similar investors.
  • Startup experience in renewable energy, energy development, infrastructure, climate finance, alternative funds, or a closely related industry strongly preferred.
• Technical & Subject-Matter Expertise
  • Deep experience building and managing financial statements, models, forecasts, budgets, cash-flow projections, and analyses.
  • Strong command of capital structures, equity, debt, and project finance, investment returns, valuation, and dilution.
  • Experience preparing companies or projects for investor due diligence and taking financings from first investor engagement through close.
  • Excellent financial, analytical, leadership, and organizational skills.
  • Excellent project management skills; highly organized, with impeccable attention to detail.

Work Requirements

• Present at work, on time for meetings, and on camera at all times.
• Proficient with Microsoft Office, Teams, ClickUp (or equivalent), and financial modeling tools.
• Reliable internet, minimum 3 Mbps.
• Dedicated work computer: Windows 11 or macOS 13+, minimum 8 GB RAM.
• Able to travel within and outside the United States as needed.
