Base pay range $80,000.00/yr - $120,000.00/yr Position : Corporate Mergers & Acquisitions Paralegal Location: Century City On-site Logistics: Hybrid (3) days on site Target Salary: 80,000 - $120,000 + OT and Bonus Responsibilities Create and update checklists (check in new documents, change status, etc.) Draft transactional documents including resolutions, opinions, joinders, Secretary's certificates, Incumbency certificates, and other legal documents Run, order and summarize UCC, state and federal lien, judgment, litigation, and bankruptcy searches Manage the post-closing database to manage post-closing matters and create email reminders Prepare withdrawal and qualification documents in accordance with all state, local, and federal laws and regulations for conducting business Prepare stock certificates, legend, and backing sheets Draft shareholder and board consents Draft and file amendment certificates for corporation or Limited Liability Companies Draft, assemble and track signature packets Manage/oversee the preparation of closing sets, binders and CDs (electronic format) and other post-closing deliverables; distribute to appropriate parties Additional Document Drafting Responsibilities Draft organizational, incorporation, and formation documents including, but not limited to the following: Articles of organization, operating agreements, consents, qualification documents Conduct name availability and reserve entity name if required Draft subscription agreements, stock certificates, stock powers and related documents Prepare SS-4 form and apply for Employer ID Number Seniority Level Associate Employment Type Full-time Job Function Legal, Finance, and Writing/Editing Industries Venture Capital and Private Equity Principals, Law Practice, and Legal Services #J-18808-Ljbffr Plona Partners
