Vice President - Fund Attorney

Lead the negotiation and execution of commercial agreements with external parties, including investment managers and distribution partners. Prepare, analyse, and amend legal documentation for private investment funds, including offering documents, limited partnership agreements, and related fund materials. Provide legal guidance on the launch and ongoing management of investment products, assessing legal and regulatory considerations. Manage relationships with external counsel on matters relating to regulatory compliance, corporate governance, and fund investment activities. Draft, review, and negotiate a broad range of commercial contracts, confidentiality agreements, and other legal instruments. Support regulatory compliance by coordinating filings, conducting legal research, and assisting with special legal projects as needed. Qualifications Minimum of four years' experience advising on investment fund formation and related matters within the asset or investment management industry. Comprehensive understanding of key U.S. securities and investment management legislation, including the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and applicable FINRA rules. Qualified to practise law and admitted in good standing in Utah or another U.S. jurisdiction. Prior experience gained in a law firm or within the legal team of an asset management organisation is advantageous. Demonstrated ability to build effective working relationships and provide leadership across teams. Adaptable and eager to develop expertise in new subject areas within a dynamic business environment.
