Direct Counsel is seeking a Corporate Associate to join a market-leading Business Restructuring & Reorganization practice in New York. This is an exceptional opportunity for an attorney with restructuring experience who is looking to work on sophisticated Chapter 11 matters, out-of-court restructurings, liability management transactions, and distressed investment opportunities.
The ideal candidate will have significant experience representing creditors or borrowers in complex restructuring transactions and a strong interest in distressed situations and special situations work.
Responsibilities- Advise creditors, borrowers, debtors, and investors in complex restructuring matters
- Represent clients in:
- Liability management transactions
- Chapter 11 reorganizations
- Out-of-court restructurings
- Distressed acquisitions
- Special situations transactions
- Cross-border restructuring matters
- Draft and negotiate restructuring and transaction documentation
- Analyze capital structures, financing arrangements, and restructuring alternatives
- Work closely with hedge funds, CLOs, private equity sponsors, financial institutions, and corporate clients
- Participate in restructuring strategy development and transaction execution
- Coordinate with finance, litigation, tax, and corporate teams on multidisciplinary matters
- Manage matters from inception through implementation and closing
- J.D. from an accredited law school
- Law school class years 2019–2022
- Significant experience representing creditors and/or borrowers in restructuring matters
- Experience with:
- Liability management transactions
- Chapter 11 proceedings
- Out-of-court restructurings
- Distressed transactions
- Corporate reorganizations
- Strong drafting, negotiation, and analytical skills
- Ability to manage complex matters in a fast-paced environment
- Excellent oral and written communication abilities
- Strong business judgment and problem-solving skills
- Outstanding academic credentials
- Salary range: $260,000 – $390,000
