This position will reside at a Medtronic corporate location in California, Florida, Massachusetts, or Minnesota and reports to the Vice President, Chief Counsel, Americas Region.

Role purpose

We are seeking an exceptional strategically minded and transactionally focused attorney to serve as a key legal partner supporting the GCO activities with emphasis on the company’s US government business segment. The successful candidate will provide actionable, business-oriented legal advice on all aspects of federal procurement, including bid protests, contract performance, and dispute resolution. The role involves navigating complex regulations, ensuring regulatory compliance, and mitigating risk across the contracting lifecycle of federal, state, and local contracts, including GSA Schedule management, VA procurements, and DoD agreements. This role also provides general, proactive, business-forward legal guidance and drafting support for non-US government customer sales activities to enable compliant innovative business models under federal and state healthcare laws (including the False Claims Act, the Anti-Kickback Statute, data privacy and security laws, software licensing, FDA law, ASC regulatory frameworks, and related laws and policies). The attorney will work cross-functionally with enterprise and operating unit clients, quality, regulatory, clinical, and operations teams, and functional centers of excellence including IP, compliance, M&A, privacy, AI, antitrust, litigation, government affairs, and health economics policy and reimbursement on issues related to compliance with healthcare-related government contracting, ASC initiatives, and service and repair operations.

Responsibilities may include the following and other duties may be assigned.

US Government Contracting Support

• Provide domain expertise and support to Medtronic businesses and regions on navigating the U.S. government procurement system, creating efficiencies, managing risk, and reducing liabilities.
• In partnership with Medtronic’s US Federal Government Enterprise team and other key stakeholders, implement systems and processes to support compliance and consistency in U.S. government sales activities.
• Develop and deliver resources including playbooks, training modules, FAQs, and other tools detailing contract administration and compliance requirements and implementation strategies.
• Monitor and communicate pertinent changes in federal laws, regulations, and policies that impact Medtronic’s ability to perform responsibilities as a government contractor and supplier.
• Draft, review, and negotiate complex government solicitations, contracts, subcontracts, and teaming agreements, ensuring compliance with federal acquisition regulations.

ASC Support

• Provide legal guidance on strategies involving ASC partnerships, commercial models, distribution programs, reimbursement trends, and engagement with ASC stakeholders, aligned with ASC market dynamics and business strategy.
• Support contract development and review for ASC offerings, collaborations, facility-level programs, and commercial engagements.
• Advise business teams on regulatory and compliance guardrails for ASC-based service models, digital engagement, and operational initiatives.

Enterprise Accounts Strategic Transactions Support

• Support evaluation, structuring, drafting, and negotiation of strategic partnerships, commercial arrangements, and collaborative activities, including risk assessment and diligence on fraud and abuse and compliance implications.
• Provide legal support for innovative commercial models, distribution structures, portfolio offerings, and cross-functional transactional execution.

Service & Repair Program Support

• Draft, negotiate, and advise on service, warranty, maintenance, and repair agreements.
• Assess compliance risks related to service offerings and partner with quality, operations, and service teams to align legal and regulatory requirements with field service processes.

Fraud & Abuse / Regulatory Counseling for GCO initiatives

• Partner with other functional team members, including the Health Law Center of Expertise, to provide guidance on AKS, state fraud laws, False Claims Act, and enforcement trends.
• Review and advise on pricing, discounting, rebates, service arrangements, and financial interactions with healthcare providers, suppliers, and ASC partners to ensure compliance.
• Support internal reviews, risk assessments, and compliance programs.

Cross-Functional Partnership & Governance

• Collaborate with compliance, anti-trust, regulatory, quality, and health economics teams on risk mitigation and policy development.
• Provide legal training and practical guidance to business teams, including risk communication, documentation hygiene, and escalation protocols.

Additional Responsibilities

• Serve as primary legal contact and business partner for the GCO.
• Identify, assess, and communicate key contract risks, obligations, and practical mitigation strategies to internal stakeholders.
• Provide legal review of proposed website content, internal and external communications, executive business updates, and other materials.
• In partnership with other subject matter experts, support discussions and negotiations regarding GCO implementation strategies.
• Collaborate with Medtronic’s various legal COEs and other legal and compliance professionals to deliver high-quality, practical, and strategic advice to commercial, finance, and other stakeholders to close deals compliantly.
• Partner with stakeholders to build efficient processes, creation and maintenance of playbooks, templates, self-help workflows, and document management systems.

Minimum Requirements

• Juris Doctor from a nationally recognized US law school
• Licensed to practice law and in good standing under the Bar of at least one state or in Washington D.C.
• 8+ years of legal experience negotiating and drafting agreements governing the sale of healthcare products and services to large hospital systems and ASCs, including 5+ years focused on federal government contracting law, in-house or with a reputable law firm.

NICE TO HAVE

• Experience supporting Sales and Marketing with strategic partnerships related to medical devices and services.
• Extensive experience negotiating and drafting collaborative partnerships, consulting services, data use agreements, capital acquisition programs, discount arrangements, partnership agreements, distribution agreements, GPO agreements, service and repair agreements.
• Aptitude to identify and communicate complex legal risks clearly to stakeholders, including antitrust and anti-kickback risks.
• Ability to identify high-risk situations and provide guidance, including making difficult decisions diplomatically.
• Proven ability to manage multiple complex assignments across stakeholder groups within timelines.
• Proactive, customer-centric, solutions-oriented mindset with continuous improvement attitude.
• Leadership presence with the ability to influence at all levels.
• Strong active listening skills and big-picture thinking.

For Baccalaureate degrees earned outside the United States, a degree satisfying 8 C.F.R. § 214.2(h)(4)(iii)(A) is required.

Benefits & Compensation

Medtronic offers a competitive salary and flexible benefits package, with a range of health, retirement, time-off, and well-being programs. Salary ranges for U.S. locations: $191,200.00 - $286,800.00. This position is eligible for an annual incentive plan and a long-term incentive plan. The base salary range applies across the United States, excluding Puerto Rico and certain California locations. Compensation information pertains to candidates hired within the United States.
