Mergers & Acquisitions Associate Attorney
Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Dallas, Texas .
This is an exceptional opportunity for an attorney with 3+ years of corporate transactional experience to join a sophisticated mergers and acquisitions practice. The team represents private equity firms, financial sponsors, and strategic buyers and sellers in a broad range of complex domestic transactions, including leveraged buyouts, growth equity investments, minority investments, and other strategic acquisitions and dispositions.
ResponsibilitiesRepresent private equity firms, financial sponsors, and strategic buyers and sellers in mergers and acquisitions transactions.
Advise clients on leveraged buyouts, sell-side transactions, growth equity investments, minority investments, and other strategic transactions.
Draft, review, and negotiate acquisition, disposition, and investment agreements.
Prepare and manage closing documents and coordinate all aspects of transaction closings.
Conduct legal due diligence and assist with transaction structuring.
Collaborate with clients and multidisciplinary legal teams throughout all phases of complex corporate transactions.
Provide strategic legal advice on corporate and transactional matters.
J.D. from an ABA-accredited law school.
Active membership in the Texas State Bar .
3+ years of mergers and acquisitions and private equity transactional experience.
Experience representing financial sponsors, private equity firms, and strategic buyers and sellers.
Strong experience drafting and negotiating acquisition, disposition, and investment agreements.
Experience managing sophisticated transactions through closing.
Securities law experience is a plus.
Excellent drafting, analytical, negotiation, and communication skills.
Salary: $260,000-$435,000, commensurate with experience and qualifications.
