Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Dallas, Texas .

This is an exceptional opportunity for an attorney with 3+ years of corporate transactional experience to join a sophisticated mergers and acquisitions practice. The team represents private equity firms, financial sponsors, and strategic buyers and sellers in a broad range of complex domestic transactions, including leveraged buyouts, growth equity investments, minority investments, and other strategic acquisitions and dispositions.

Responsibilities

• Represent private equity firms, financial sponsors, and strategic buyers and sellers in mergers and acquisitions transactions.

• Advise clients on leveraged buyouts, sell-side transactions, growth equity investments, minority investments, and other strategic transactions.

• Draft, review, and negotiate acquisition, disposition, and investment agreements.

• Prepare and manage closing documents and coordinate all aspects of transaction closings.

• Conduct legal due diligence and assist with transaction structuring.

• Collaborate with clients and multidisciplinary legal teams throughout all phases of complex corporate transactions.

• Provide strategic legal advice on corporate and transactional matters.

Qualifications

• J.D. from an ABA-accredited law school.

• Active membership in the Texas State Bar .

• 3+ years of mergers and acquisitions and private equity transactional experience.

• Experience representing financial sponsors, private equity firms, and strategic buyers and sellers.

• Strong experience drafting and negotiating acquisition, disposition, and investment agreements.

• Experience managing sophisticated transactions through closing.

• Securities law experience is a plus.

• Excellent drafting, analytical, negotiation, and communication skills.

Compensation & Benefits

• Salary: $260,000-$435,000, commensurate with experience and qualifications.
