We started Oscar in 2012 to create the kind of health insurance company we would want for ourselves—one that behaves like a doctor in the family.About the RoleThe Corporate Paralegal is a key member of the Corporate Legal team responsible for project managing and supporting Oscar's entity management and subsidiary governance workflows. You will work closely with internal Oscar teams and interfaces with our external regulators.You will report into the Associate General Counsel.Work LocationThis is a remote position, open to candidates who reside in: Arizona, Florida, Georgia, Illinois, Iowa, Kansas, Michigan, Missouri, Nebraska, New Jersey, New York, North Carolina, Ohio, Pennsylvania, South Carolina, Tennessee, Texas and Virginia. You will be fully remote; however, our approach to work may adapt over time. Future models could potentially involve a hybrid presence at the hub office associated with your metro area.If you live within commutable distance to our New York City office (in Hudson Square) or our Tempe office (off the 101 at University Ave), you will be expected to come into the office at least three days each week. Otherwise, this is a remote / work-from-home role. Thursdays are a required in-office day for team meetings and events, while your other two office days are flexible to suit your schedule.Pay TransparencyThe base pay for this role in the states of New Jersey and New York is: $38.22 - $50.16 per hour. The base pay for this role in all other locations is: $34.39 - $45.14 per hour. You are also eligible for employee benefits and monthly vacation accrual at a rate of 15 days per year.ResponsibilitiesSupporting Corporate Secretary function for subsidiary board cycles by drafting agendas, meeting minutes, resolutions, and consents; communicating with board members; assisting during board meetings. Support off-cycle board actions and updates.Managing Oscar's portfolio of legal entities by drafting and revising corporate documents, maintaining corporate records, tracking annual statements and other filing deadlines.Prepare, review, and file annual and amendments to insurance holding company systems filings and manage inter-company agreements.Serve as a subject matter expert on corporate structure and respond to audit requests related to corporate information from cross-functional teams; draft correspondence to regulators.Project manage special projects such as strategic transactions, entity name changes, or internal legal team projects.Contribute to the development of internal procedural guides on entity management and subsidiary governance to support streamlined processes and retain institutional knowledgeCompliance with all applicable laws and regulationsOther duties as assignedRequirementsBachelor's degree or 4 years of commensurate experience2+ years of corporate paralegal experience, including entity management, corporate governance, and corporate regulatory filings2+ years of experience designing and improving workflowsDemonstrated cross-functional project management skillsHighly organized and detail-orientedHigh ethical standards and proven ability to maintain confidentiality of sensitive informationDynamic team player who thrives in a fast-paced environmentProficiency in MS Word, Excel, Google Suite, and ZoomBonus PointsExperience working in the healthcare industry or insurance industryExperience implementing AI tools in corporate paralegal processesThis is an authentic Oscar Health job opportunity.
