Fintech Product Counsel (Head of Legal Strategy)

Help shape the regulatory and structural foundation for an emerging digital securities platform.

We view legal design as core product design. Rather than hiring a standard corporate counsel, we are seeking a forward-thinking strategist eager to engineer the future of corporate ownership.

Operating within a regulated infrastructure environment, our team builds technology that enables onchain equity capital markets. We leverage blockchain technology as an official ledger for asset management, collateral, financing, and liquidity across modern financial ecosystems.

Working directly alongside the founders, product leads, and engineering teams, you will build compliant financial architecture from the ground up rather than reviewing existing frameworks after launch.

Key Responsibilities

• Architect the legal, regulatory, and technical structures for proprietary products and regulated platforms.
• Direct securities strategy across transfer agency operations, broker-dealer frameworks, and asset management activities.
• Guide engagement and policy initiatives with regulatory entities like the SEC and FINRA.
• Collaborate daily with engineering and product leaders to embed compliance directly into software features.
• Oversee corporate governance, commercial contracts, employment affairs, and internal risk operations.
• Manage external counsel efficiently while keeping internal legal guidance practical and execution-minded.
• Establish new compliance and operational standards for programmable assets and tokenized securities.

Qualifications & Experience

• Extensive background advising on equity securities, broker-dealer rules, transfer agents, investment funds, and capital formation.
• Advanced expertise in the Securities Act, Exchange Act, and broad capital markets regulation.
• Strong interest in digital assets, distributed ledgers, asset tokenization, and modern market structure.
• Product-oriented builder mindset with a preference for system architecture over basic document review.
• Entrepreneurial approach with executive-level communication skills.
• Proven ability to navigate high ambiguity and make sound decisions with incomplete data.
• Active U.S. law license (NY bar admission preferred).
