Associate General Counsel

About the role
A highly visible, senior in-house role where you partner directly with investment leadership to drive complex private real estate and fund transactions and influence deal structuring.
Responsibilities
- Provide legal counsel across private real estate transactions, including acquisitions, dispositions, joint ventures, and related financings
- Support structuring and formation of private equity funds, closed-end funds, and non-traded REITs
- Draft and negotiate term sheets, purchase and sale agreements, joint venture agreements, loan documentation, leasing and property management agreements
- Conduct legal and regulatory due diligence on real estate managers and sponsors
- Advise senior management and investment teams on governance, regulatory, and transactional matters
- Oversee and manage outside counsel on regulatory filings and public disclosure requirements for non-traded REITs
- Prepare and review fund documents, subscription agreements, prospectus amendments, and credit facility documentation
Qualifications
- 7–10+ years’ experience in private equity and/or real estate transactions - In-House Experience & Big Law Firm training is highly preferred.
- Significant expertise in real estate transactional work and investment fund documentation
- Strong knowledge of securities laws, capital markets, joint ventures, and SEC regulatory requirements
- U.S. Bar admission (NY preferred)
Compensation
Compensation Range: $300,000 - $325,000 base + Very competitive bonus structure: 60% - 80%
