Associate General Counsel

About the role A highly visible, senior in-house role where you partner directly with investment leadership to drive complex private real estate and fund transactions and influence deal structuring. Responsibilities Provide legal counsel across private real estate transactions, including acquisitions, dispositions, joint ventures, and related financings Support structuring and formation of private equity funds, closed-end funds, and non-traded REITs Draft and negotiate term sheets, purchase and sale agreements, joint venture agreements, loan documentation, leasing and property management agreements Conduct legal and regulatory due diligence on real estate managers and sponsors Advise senior management and investment teams on governance, regulatory, and transactional matters Oversee and manage outside counsel on regulatory filings and public disclosure requirements for non-traded REITs Prepare and review fund documents, subscription agreements, prospectus amendments, and credit facility documentation Qualifications 7–10+ years’ experience in private equity and/or real estate transactions - In-House Experience & Big Law Firm training is highly preferred. Significant expertise in real estate transactional work and investment fund documentation Strong knowledge of securities laws, capital markets, joint ventures, and SEC regulatory requirements U.S. Bar admission (NY preferred) Compensation Compensation Range: $300,000 - $325,000 base + Very competitive bonus structure: 60% - 80% #J-18808-Ljbffr
