Real Estate Attorney

MW Law is a dynamic and growing boutique real estate private equity law firm, focusing on real estate investment transactions, private structuring, and title insurance. We are seeking a commercial real estate associate to handle acquisitions, dispositions, financing, development, and leasing matters for a client base of investors, developers, operators, and lenders. This is a hands-on transactional seat. You will carry your own matters from contract through closing, work directly with clients and the parties across the table, and have regular access to experienced real estate and corporate partners invested in your development. We are looking for an associate who wants to build a practice, not simply record hours. Key Responsibilities: Transactions and Closings: Manage commercial real estate transactions from contract through closing, including acquisitions, dispositions, and financings. Track deadlines, contingency periods, and closing conditions, and keep clients ahead of every date on the calendar. Prepare closing checklists, coordinate deliverables, and handle post-closing obligations. Drafting and Negotiation: Draft and negotiate purchase and sale agreements, loan documents, leases, easements, and other transaction documents. Prepare entity, escrow, and title-related documentation in coordination with our corporate and title services teams. Negotiate with opposing counsel under partner guidance, with increasing independence as you develop. Review title commitments, surveys, zoning reports, leases, service contracts, and other diligence materials. Prepare title and survey objection letters and track each item through resolution. Summarize diligence findings and flag material risks for the client and the responsible partner. Client and Third-Party Coordination: Work directly with clients, lenders, title companies, brokers, surveyors, and opposing counsel. Serve as a responsive point of contact who keeps each transaction moving. Support development and leasing matters, including construction, easement, and related agreements. Qualifications: 2-4+ years of commercial real estate transactional experience preferred. Experience handling acquisitions, dispositions, financing, development, and leasing matters. Demonstrated ability to review title, survey, zoning, and other due diligence materials and identify the issues that matter. Strong drafting, negotiation, communication, and organizational skills, with a high attention to detail. Ability to manage multiple matters and competing deadlines in a fast-paced, client-focused environment. Texas Bar admission; JD from an accredited law school. Client-focused demeanor, sound judgment, and a problem-solving approach. Preferred Experience (not required): Real estate private equity, joint venture, or fund-level work. Construction, development, or land use matters. Title insurance and escrow experience. Familiarity with entity formation and structuring for real estate holdings.
