About the Role

The Private Capital & Investor Relations Coordinator will support Verde Nexus’s organized investor-development and capital-readiness process during its initial $1 million pilot capitalization campaign.

The role focuses on investor research, relationship development support, pipeline administration, approved communications, meeting coordination, follow-up, investor-material distribution and due-diligence coordination.

The Founder & CEO retains control over offering terms, investment negotiations and acceptance of investment capital unless appropriately qualified legal or securities professionals are engaged.

Key Responsibilities

• Research qualified prospective investors, family offices, strategic investors and aligned private-capital sources.
• Build and maintain a structured investor CRM.
• Segment investors by fit, geography, check-size potential, thesis and relationship status.
• Prepare investor prospect lists for Founder approval.
• Coordinate approved investor outreach.
• Schedule investor meetings and manage follow-up.
• Maintain records of investor conversations and next actions.
• Distribute Founder-approved investor materials.
• Track non-binding indications of interest.
• Coordinate diligence requests with the Finance/Due-Diligence Analyst.
• Maintain the investor pipeline dashboard.
• Prepare weekly investor-relations reports.
• Research investor-market intelligence and capital trends.
• Maintain strict confidentiality.
• Escalate substantive investment discussions and term questions to the Founder and appropriate professional advisers.

Important Authority Limits

This contractor is  not independently authorized to:

• determine company valuation;
• negotiate securities terms;
• promise equity percentages;
• accept investment funds;
• make investment recommendations;
• alter offering documents;
• provide legal or investment advice; or
• receive transaction-based compensation for securities transactions unless legally permitted and expressly approved.

That last point is particularly important. SEC guidance notes that people who help effect private securities transactions may trigger broker-dealer registration requirements, and transaction-based compensation is a major factor. The SEC specifically warns that the fact an offering is private does not automatically exempt a placement agent from broker-dealer requirements. 

So  do not put “3%-5% of investments raised” in this job posting. Keep compensation fixed/project/milestone based unless securities counsel structures something else.

• Appropriate investors reaching Founder conversations.
• No missed follow-ups.

• Investor requests handled rapidly.
• Qualified indications of interest documented.
• Capital pipeline visibility improves weekly.
• Investor communications remain consistent with approved company materials.

Ideal Candidate

• Investor relations, private capital research, startup finance, family-office research, venture ecosystem or capital-markets support experience.
• Excellent executive communication.
• Strong research and CRM discipline.
• Understanding of early-stage investment terminology.
• Ability to distinguish an investor prospect from a genuinely qualified capital opportunity.
• Strong discretion and confidentiality.
• Global mindset and cross-cultural communication skills.
• Familiarity with edtech, sustainability, digital commerce, marketplaces or impact-oriented ventures preferred.

Compensation & Growth

• Fixed project or milestone compensation.
• No percentage of investment capital raised.
• Enhanced funded-stage contractor arrangement may become available as operating capital increases.
• Strong performers may receive priority consideration for a funded Investor Relations/Capital Operations position.
