Direct Counsel is seeking a Healthcare Associate Attorney with 1–4 years of experience to join a well-established California law firm with a sophisticated healthcare practice in its Sacramento office. The firm advises healthcare providers, businesses, and organizations on a broad range of regulatory, compliance, transactional, and operational matters. This role offers meaningful responsibility and the opportunity to work closely with experienced healthcare attorneys on complex and sophisticated client matters.

Position Overview

The Healthcare Associate Attorney will advise healthcare providers and healthcare businesses on federal and California healthcare laws and regulations, as well as assist with strategic transactions, corporate matters, regulatory compliance, and day-to-day operational issues.

The firm's healthcare clients include hospital systems, ambulatory surgery centers, medical foundations, healthcare management companies, physicians and physician groups, behavioral health providers, durable medical equipment suppliers, and other healthcare and healthcare-aligned organizations.

Responsibilities

• Advise healthcare providers and businesses on federal and California healthcare laws and regulations
• Counsel clients regarding provider licensing, Medicare and Medi-Cal enrollment, reimbursement, corporate practice of medicine, Cost and Market Impact Review requirements, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, and other healthcare compliance matters
• Conduct legal research and prepare memoranda, client correspondence, and practical legal analyses
• Assist with healthcare mergers and acquisitions, affiliations, restructurings, and other strategic transactions
• Conduct regulatory due diligence and assist with change-of-ownership (CHOW) matters and post-closing implementation
• Draft, review, and negotiate healthcare and corporate agreements, including management services agreements, professional services agreements, physician employment agreements, medical director agreements, purchase agreements, operating agreements, and other commercial contracts
• Advise clients regarding corporate governance, entity formation, organizational structure, and day-to-day operational matters
• Conduct legal due diligence, including review of contracts, licenses, regulatory filings, and corporate records
• Prepare organizational documents, board and member resolutions, and transaction-related documents
• Communicate and coordinate with clients, government agencies, opposing counsel, consultants, and other advisors
• Manage multiple matters simultaneously while providing responsive, practical, and business-oriented legal counsel
• Contribute to client alerts, presentations, business development initiatives, and other practice group activities

Qualifications

• J.D. from an accredited law school
• Active membership in good standing with the California State Bar
• 1–4 years of experience in healthcare regulatory, compliance, or corporate transactional law
• Experience advising clients on healthcare regulatory matters preferred
• Exposure to one or more of the following preferred: provider licensing, Medicare or Medi-Cal enrollment, reimbursement, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, or general healthcare compliance
• Excellent legal research, writing, drafting, analytical, and communication skills
• Strong attention to detail and ability to manage multiple matters and deadlines
• Excellent interpersonal skills and a collaborative, client-focused approach
• Ability to work independently while functioning effectively as part of a team

Compensation

Salary: $160,000–$190,000, commensurate with experience.
