Associate 2 to 6 years

Overview Our Finance practice group in Chicago is seeking experienced Leveraged Finance Associates to support clients in structuring, negotiating, and executing complex financing transactions. The role involves advising on secured and unsecured lending, acquisition financings, recapitalizations, and other leveraged transactions. The associate works with lenders, borrowers, private equity sponsors, and other stakeholders to ensure compliance with legal requirements and deliver practical solutions. Responsibilities Represent private equity sponsors and their portfolio companies and/or financial institutions that provide financing to private equity firms in debt financing transactions. Assist and provide legal guidance to clients in structuring and executing leveraged finance transactions. Draft, review, and negotiate various finance agreements, including credit agreements, bond indentures, commitment letters and term sheets, security agreements, guarantee agreements, intercreditor agreements, and subordination agreements. Advise clients on legal risks, regulatory requirements, and market practices related to leveraged finance transactions. Qualifications Possess a minimum of 1 year (class of 2024) - 6 years of relevant experience in leveraged finance or related practice areas. Demonstrate proficiency relative to class year in drafting and negotiating complex financial documents. Possess a thorough understanding relative to class year of secured transactions, syndicated lending, and acquisition finance.
