Associate, Private Equity Sinclair Ventures | Hunt Valley, MD | On-site About Sinclair Ventures Sinclair Ventures, the direct investment arm of Sinclair, Inc., deploys capital into lower‑middle‑market control investments (companies generating $15‑40 M of EBITDA). The firm operates with $500M+ of deployable capital and focuses on a long‑term operating platform rather than a traditional fund. The Role The Associate is the analytical engine of the deal team, owning the financial work on live transactions, leading research that shapes investment theses, and running diligence workstreams alongside senior team members. What You’ll Do Financial modeling & valuation : Own LBO, operating, and returns models end‑to‑end – base, downside, management cases – with a point of view on drivers; drive valuation across DCF, comps, precedents, SOTP; model PPA, tax structuring, rollover, earn‑outs; audit third‑party models and QoE. Industry & ecosystem research : Build theses in target verticals (water and environmental services, infrastructure services, civil and site work, industrial manufacturing); map landscapes, value chains, consolidation patterns; produce thematic work that translates into a target list; run primary research and develop conviction. Deal execution : Triage CIMs and proprietary opportunities; lead financial, commercial, operational, and legal diligence (QoE, consultants, lenders, counsel); interpret debt docs, credit agreements, term sheets; draft IC memos, lender materials, management presentations; participate in management meetings, banker calls, negotiations. Portfolio & value creation : Support portfolio companies through operating reviews, KPI reporting, add‑ons, and capital structure; track performance versus underwriting; surface variances early; underwrite add‑ons with platform‑deal rigor. Firm building : Build infrastructure – pipeline systems, banker CRM, IC and diligence templates, playbooks; improve processes. Who We’re Looking For Experience : 2‑5 years in PE, investment banking (M&A or leveraged finance), or top‑tier consulting on transaction work; direct PE experience a plus; demonstrated live‑deal reps (modeling, diligence, IC drafting, management interaction); background in industrials/infrastructure/services is helpful. Technical : Advanced LBO and operating modeling from a blank sheet; fluency in DCF, comps, precedents, debt mechanics, returns attribution; strong reading of QoE, audited financials, debt docs; proficiency in Excel, PowerPoint, PitchBook, AlphaSense. How you operate : Hungry for reps; direct, point‑first recommendations; high judgment; builder mindset; high integrity. Education : Bachelor’s required; MBA, CFA, or CPA a plus.
