About the Role

AngelList is hiring a Legal Counsel to own ordinary-course corporate work and help resolve the legal questions that arise across our Funds business. You'll handle commercial contract reviews, board consents, and equity grants while joining the legal team's reactive rotation - spanning investor consents, side letters, portfolio-company issues, secondary transactions, and regulatory questions. This role combines recurring corporate responsibilities with matters that require a fresh assessment of the facts and a clear position on risk.

This is a hands-on role. You'll work closely with teams across AngelList including Product, Engineering, Fund Operations, Finance, Tax, Compliance, and Customer Success;, both to resolve individual matters and improve the systems and processes that created them. Responsibilities

• Own procurement and commercial contract reviews, including terms governing data rights, retention, and the use of data to train AI models.
• Assess fact-specific fund and investment matters, including fee disputes, carry transfers, distribution or secondary-related issues, side letters, and other non-standard fund operation issues and develop a clear position on legal risk.
• Research and advise on questions arising under the Securities Act, Investment Company Act, Investment Advisers Act, and related rules applicable to AngelList's funds and products.
• Use AI-assisted research and drafting workflows, reviewing and verifying proposed responses rather than relying on their output unchecked.
• Identify recurring patterns in corporate and reactive legal work and help turn them into reusable guidance, templates, and AI-assisted workflows.
• Support bespoke fund structures and strategic customer arrangements and determining whether requested terms can be supported within AngelList's legal and operational framework.

What we're looking for

• Corporate transactional capability. You can take ownership of commercial contract reviews and ordinary-course corporate matters.
• An AI-forward approach to legal work. You are comfortable using AI tools, checking their output, and distinguishing work that can be automated from decisions that require a lawyer.
• Comfort with ambiguity and reactive work. You can take ownership when the facts are incomplete, the issue is time-sensitive, or there is no existing playbook, and you know when to make a judgment call versus escalate.
• A practical, cross-functional approach. You can collaborate with internal teams to develop solutions that appropriately balance legal risk and business realities.
• Fund and regulatory fluency (or the ability to develop it quickly). You are comfortable working with fund governing documents, investor arrangements, and securities and investment-management concepts. You do not need to have encountered every issue before, but you should be able to get up the curve quickly.
• An appetite for hands-on execution. You want to handle recurring corporate work and a steady flow of time-sensitive legal matters-not only novel transactions or strategic initiatives.

We operate out of hubs in New York City and San Francisco. For most roles on those teams, we work from the office at least two days per week (Tuesdays and either Wednesday or Thursday).


Compensation:
The compensation for this role consists of a competitive base salary, benefits, and equity package. The base salary for this role is $225,000+ annually but actual will vary based on a number of factors including a candidate's professional background, experience, and location. Full details about our Total Rewards package will be provided during the recruitment process.
