Job Overview A law firm seeks an experienced Of Counsel to join its New York, NY office. The role involves practicing in public company reporting and compliance, corporate governance, and capital markets, working closely with public companies. This position offers the opportunity to join a dynamic securities practice within a leading global law firm. Duties Conduct thorough legal research and analysis to support transaction preparation. Draft well-reasoned legal documents, including memos and contracts. Assist in managing complex transactions from inception to resolution. Build and maintain strong client relationships by providing timely support and advice. Collaborate with colleagues to develop innovative transaction strategies. Participate in high-level legal activities, including client meetings and negotiations. Ensure compliance with legal standards and regulations. Engage in professional development to enhance legal knowledge and skills. Contribute to firm programs, civic organizations, and pro bono work. Requirements Minimum 8 years of experience in public company and capital markets. Experience with ongoing periodic reporting for public companies. Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934. Experience with Nasdaq and New York Stock Exchange listing requirements. Experience with structuring and executing complex securities offerings. AmLaw 100 law firm experience preferred. Education JD degree from an accredited law school. Certifications Admitted to practice in the state of New York. Skills Excellent written and verbal communication abilities. Strong research, analytical, and problem-solving skills. Attention to detail and good business judgment. Ability to work collaboratively and independently. Persuasive communication and management skills.
