Senior Corporate Counsel, Corporate and Securities

Beam Therapeutics, a biotechnology company focused on precision genetic medicines, seeks a Senior Corporate Counsel to handle corporate transactions, SEC compliance, and governance for this public company. The role offers substantial breadth and direct influence on strategic decisions while reporting to the Senior Vice President of Legal Affairs.

Responsibilities

• Negotiate and execute strategic collaboration, licensing, and acquisition agreements with business development
• Support SEC compliance and public company reporting including registration statements, quarterly and annual reports, proxy statements
• Partner with finance team on capital-raising activities and corporate governance matters
• Advise Board of Directors and its committees; prepare governance documentation and meeting materials
• Develop and maintain policies ensuring compliance with SEC requirements and applicable securities laws

Requirements

• JD from ABA-accredited law school; active bar admission in at least one U.S. jurisdiction
• Minimum 5 years experience at public biotech/life sciences company or law firm
• Substantive experience with strategic transactions, public company reporting, and corporate governance
• Strong judgment and risk management skills balancing multiple stakeholders and priorities
• Excellent written and verbal communication abilities; ability to simplify complex legal concepts
