Corporate Attorney

Corporate Attorney | AM Law Firm | Hybrid – Cerritos, CA & Irvine, CA

Our client, a AM Law Firm , is seeking an experienced and motivated Corporate/Transactional Attorney to join their growing Irvine office . This is an excellent opportunity for a well-rounded business attorney to work with a diverse client base on sophisticated corporate, tax, and transactional matters.

The ideal candidate will have at least 5 years of corporate and transactional experience , strong drafting and negotiation skills, and the ability to manage complex transactions from start to finish. An LL.M. in Tax is preferred but not required.

Key Responsibilities:

• Advise clients on a broad range of corporate, business, and tax matters
• Handle entity formations and dissolutions (nonprofit and for-profit)
• Provide counsel on corporate governance and business succession planning
• Manage mergers and acquisitions , including due diligence, disclosure schedules, and deal documentation
• Draft, review, and negotiate commercial and service agreements
• Handle tax controversy matters , including EDD audits
• Advise on debt and equity financing transactions
• Structure and draft equity and pseudo-equity arrangements (profits interests, phantom equity, stock appreciation units, etc.)
• Assist with startup and venture financings
• Advise and support nonprofit organizations on formation, compliance, and operations
• Counsel clients on employee benefit plans and related issues

Qualifications:

• 5+ years of experience in corporate, transactional, or business law
• Admitted to practice law in California (required)
• Strong background in M&A, governance, and contract drafting
• Exceptional writing, analytical, and communication skills
• LL.M. in Tax is a plus but not required
• Ability to work independently and collaboratively in a fast-paced environment

Salary and Other Compensation:

The annual salary for this position is between $130000 – $250,000 annually . Factors which may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
