A premier global law firm is seeking a Private Investment Funds Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing domestic and international venture capital funds, private equity funds, institutional sponsors, and alternative investment managers in sophisticated fund formation and investment transactions.

Ideal Background

• 4–6 years of private investment funds experience gained at a sophisticated law firm
• Experience representing domestic and international private equity funds, venture capital funds, growth equity funds, institutional sponsors, family offices, and alternative investment managers
• Experience advising clients on the structuring, formation, organization, and ongoing operation of private investment funds
• Experience drafting and negotiating limited partnership agreements, operating agreements, subscription documents, side letters, investment management agreements, and other fund formation documents
• Experience advising clients on fund governance, sponsor matters, carried interest, management company structures, and regulatory considerations
• Experience supporting fund investments, portfolio company acquisitions, financings, co-investments, secondary transactions, and alternative investment structures
• Ability to independently manage significant portions of sophisticated transactions while collaborating effectively with clients, opposing counsel, and multidisciplinary deal teams
• Strong drafting, negotiation, analytical, organizational, and communication skills
• Significant client interaction with the ability to manage multiple complex matters simultaneously
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• New York bar admission required or ability to become admitted
