Job Description: We are seeking a detail-oriented and proactive Paralegal to join our legal team. This role sits at the intersection of corporate governance and physician-led decision-making, supporting the legal and operational needs of a growing, multi-entity healthcare organization. The Governance Paralegal will provide dedicated, hands-on governance support to SunState Medical Specialists, a multi-disciplinary community practice located in Florida, including attending physician committee meetings, preparing agendas and supporting materials, and producing accurate minutes and action item tracking. The role also supports governance work across the OneOncology network - maintaining corporate records and minute books, managing entity compliance, drafting governance documents such as resolutions, written consents, and operating agreements, and supporting corporate transactions as we continue to expand. This is a high-visibility role that requires strong organizational skills, sound judgment, and the ability to work effectively with physician leaders and executive stakeholders. Some travel to partner practice locations and availability for after-hours physician committee meetings are required. Responsibilities: SunState Medical Specialists Governance Support : • Provide primary governance support to SunState Medical Specialists, including maintaining and organizing corporate records, minute books, and governing documents. • Draft, review, and maintain governance documents including operating agreements, bylaws, resolutions, written consents, and related corporate materials. • Coordinate and track entity compliance obligations, including annual filings, fictitious name registrations, registered agent relationships, and state regulatory requirements. • Support entity formation, restructuring, and dissolution processes as needed. • Attend physician committee meetings, including after-hours physician committee meetings as needed, and serve as the primary note-taker. • Draft accurate and thorough meeting minutes reflecting committee discussions, decisions, and action items; circulate for review and approval within established timelines. • Prepare meeting agendas, supporting materials, and pre-read packages in coordination with committee leadership. • Track and follow up on action items arising from committee meetings to ensure timely completion. • Maintain organized records of committee minutes, resolutions, and related documentation. Network-Wide Governance Support: • Lead the drafting and maintaining of governance documents for our corporate entities, including articles of incorporation, bylaws, operating agreements, and shareholder/member agreements. • Independently prepare board and committee resolutions, written consents, meeting minutes and other governance materials in accordance with the expectations of our internal stakeholders and capital partners with discretion and professionalism. • Play a key role in managing entity formation including registration, ongoing compliance, restructuring, and dissolution across multiple jurisdictions; support and manage registered agent relationships and filing calendars. • Maintain corporate records and minute books, in a manner consistent with the expectations of our internal stakeholders and capital partners. • Support and help drive corporate transactions such as mergers, acquisitions, joint ventures, and affiliations by coordinating governance and related diligence requests, organizing disclosure materials, tracking closing deliverables, and supporting post-close integration documentation to expand our management services platform by bringing new practices into the OneOncology network as a partner practice or through incorporation into an already existing OneOncology practice or by our current partner practices expanding services lines. • Assist with due diligence processes, including gathering and organizing corporate documents and regulatory filings. • Maintain and update governance databases and document management systems to ensure accurate, accessible, and audit-ready records across the network. • Collaborate cross-functionally with Legal, Finance, and Operations to support governance strategy and execution, recommending process improvements to increase consistency and efficiency across the network. • Travel to partner practice locations as needed to support governance activities. • Other duties as assigned to help drive our mission of improving the lives of everyone living with cancer and other diseases. Essential Competencies: • Strong organizational skills with exceptional attention to detail, paired with the ability to analyze and interpret complex legal documents, identify risks, and communicate practical summaries to stakeholders. • Demonstrated ability to operate independently, exercising sound judgment while managing complex legal processes with minimal oversight including knowing when and how to escalate risk. • Proven ability to manage multiple complex workstreams, effectively prioritizing and adapting to shifting demands in a fast-paced, regulated environment. • Excellent written and verbal communication skills, with the ability to synthesize complex discussions into clear and accurate documentation. • Professional presence and discretion when working with physician leaders, executives, and cross-functional stakeholders. • Effective cross-functional collaboration skills, with the ability to partner across departments and influence stakeholders driving alignment and timely decisions in a fast-paced environment. • Strong sense of ownership and accountability, with the ability to drive work to completion with minimal oversight. • Customer service mindset. Qualifications: • 3-5+ years of paralegal experience in corporate governance or a related legal environment required; experience within a regulated, multi-entity healthcare organization strongly preferred. • Experience drafting and maintaining corporate governance documents, including resolutions, consents, meeting minutes, and entity records required. • Experience supporting board, committee, or other formal governance bodies - including minute-taking - strongly preferred. • Strong understanding of corporate governance and entity management within a multi-entity organization required. • Ability to manage complex legal and administrative processes with a high degree of accuracy, autonomy, and discretion required. • Willingness to travel to partner practice locations and attend after-hours physician committee meetings as required. • Strong technical skills in Microsoft Office Suite (Word, Excel, PowerPoint) required. • Experience with document management systems such as ServiceNow, hCue, and Contract Works preferred. • Paralegal certificate or equivalent education required. #LI-REMOTEVacancy posted 4 days ago
