Senior Corporate & Commercial Real Estate Transaction Paralegal

Job Description

The Senior Paralegal will directly assist and support the General Counsel and other members of the legal team, with a primary focus on transactional matters. The ideal candidate will have experience supporting corporate and real estate transactions, while also demonstrating the versatility to support a broad range of legal matters. This position will be based in New York, NY.

• Support the legal team in all aspects of corporate governance, real estate transactions, and other legal matters and special projects
\n
• Assist in the preparation, review and editing of legal documents, including transaction documents, NDAs, license agreements and other contracts
\n
• Support corporate/real estate transactions and coordinate closing processes
\n
• Monitor transaction timelines, closing checklists, and follow up on outstanding items
\n
• Prepare organizational documents, including entity formation documents, operating agreements, assignments, authorizing resolutions, officer/incumbency certificates and other governance materials
\n
• Maintain legal department files and transaction documentation
\n
• Collaborate and interface with outside legal counsel, internal business teams and other stakeholders
\n

Qualifications:

\n
• Minimum of 5-7 years of paralegal experience supporting corporate and transactional matters in a law firm or in-house legal department
\n
• Experience supporting corporate and transactional matters
\n
• Experience with commercial real estate transactions
\n
• Ability to manage multiple projects concurrently, prioritize competing deadlines, and work independently in a fast-paced environment
\n
• Undergraduate degree required
