General Corporate Associate Attorney
Direct Counsel is seeking a General Corporate Associate Attorney to join a prestigious Am Law firm in Miami, Florida .
This is an exceptional opportunity for an attorney with 1-3 years of general corporate experience to join a nationally recognized Corporate practice. The team advises entrepreneurs, emerging growth companies, venture-backed businesses, investors, and financial institutions on a wide range of corporate transactions, with a particular emphasis on technology, life sciences, and other high-growth industries.
ResponsibilitiesRepresent private and emerging growth companies in general corporate matters.
Advise clients on venture financings, mergers and acquisitions, and other strategic corporate transactions.
Draft, review, and negotiate transaction documents, corporate governance materials, and commercial agreements.
Conduct legal due diligence in connection with corporate transactions.
Counsel founders, investors, and management teams on corporate governance and business operations.
Assist clients throughout the lifecycle of their businesses, from formation through financing, growth, and exit transactions.
Collaborate with multidisciplinary legal teams to deliver practical, business-focused legal advice.
J.D. from an ABA-accredited law school.
Active membership in the Florida Bar or eligibility to obtain admission.
1-3 years of general corporate experience representing private companies.
Experience with venture financings, mergers and acquisitions, and general corporate matters.
Experience practicing in the corporate department of a national or international law firm is preferred.
Strong drafting, negotiation, analytical, and communication skills.
Outstanding academic credentials from a nationally recognized law school.
Ability to thrive in a collaborative, fast-paced environment while managing sophisticated client matters.
Salary: $225,000-$260,000, commensurate with experience and qualifications.
