This opportunity is ideal for a mid-level attorney with 4+ years of experience advising on ESOP transactions, ERISA matters, and corporate transactions.Locations: Kansas City, Missouri (preferred) | Philadelphia, Pennsylvania | Chicago, IllinoisResponsibilities:Advise clients on ESOP formations, transactions, operations, and compliance mattersRepresent ESOP sponsors, shareholders, trustees, lenders, and private companies in ESOP-related transactionsStructure and implement ESOP transaction planning and design strategiesCounsel clients on ERISA, qualified retirement plans, and Internal Revenue Code Section 409A mattersAssist with mergers and acquisitions involving ESOP-owned companiesAdvise on corporate governance, executive compensation, and general corporate mattersDraft and negotiate transaction documents and related agreementsSupport clients on strategic business and day-to-day operational issuesManage complex matters independently while collaborating with attorneys and clientsQualifications:Juris Doctor (JD) from an accredited law schoolActive bar admission in the jurisdiction where the candidate intends to practice4+ years of experience with ESOP transactions and related corporate and ERISA mattersExperience with: ESOP transaction planning and implementation, qualified retirement plans, Internal Revenue Code Section 409A, mergers and acquisitions, corporate governance, executive compensation, general corporate and transactional mattersStrong drafting, analytical, negotiation, and communication skillsExcellent academic credentialsAbility to manage sophisticated matters efficiently and independentlyPreferred Attributes:Strong business judgment and client counseling skillsEntrepreneurial mindset with a desire to help grow a national practiceAbility to navigate complex legal and business issues in a fast-paced environmentTeam-oriented approach and commitment to exceptional client serviceCompensation & Benefits:Salary range: $260,000 – $420,000 annually, depending on experienceDiscretionary performance bonus opportunityMedical, dental, vision, life, and disability insurance401(k) retirement planPaid Time Off (PTO)Comprehensive benefits package and professional development opportunities
