Legal Counsel, DCM North America

Job Summary We are seeking a mid‑level U.S. securities lawyer to support our Debt Capital Markets and Securitization platforms. You will advise on a broad range of debt capital market transactions, including the origination and execution of IG/HY bond offerings via various formats (SEC Registered, 144A / Reg S / 4(a)(2) private placements, syndications, etc.), liability management (tender offers, exchange offers, consent solicitations), and select securitizations/warehouse facilities across a variety of products and industry coverage groups. You will be a member of LBCM’s North America and wider Lloyds Legal team and report to the Chief Legal Officer, North America. Key Responsibilities Advise on transaction structuring and disclosure for registered and exempt offerings under the Securities Act/Exchange Act, including private placements; coordinate across Syndicate, Corporate and Institutional Coverage, DCM, Risk, and Compliance. Manage Rule 144A/Reg S processes (QIB/offshore targeting, legends, DTC eligibility, A/B exchanges) and liaise with outside counsel. Draft, review, and negotiate engagement letters, underwriting/purchase agreements, offering memoranda/prospectuses, dealer agreements (e.g., CP & MTN programs), agency/trust documentation, opinions, and negative assurance. Lead or support liability‑management exercises (cash tenders, exchanges, consent solicitations) under U.S. securities laws, including timing, disclosure, and process. Provide issue‑spotting and product enablement on securitizations (ABS/RMBS/CMBS/CLO exposure helpful), including 144A/Reg S execution and Reg AB II considerations. Monitor and brief stakeholders on regulatory developments impacting capital markets execution (SEC, FINRA, listing rules) and contribute to training and policy updates. Required Qualifications, Key Skills & Knowledge J.D. and active N.Y. bar admission with top academic credentials. 5–7 years post‑qualification (N.Y. bar). Excellent written and oral communication skills. Hands‑on experience with investment‑grade or high‑yield bond offerings, private placements, and at least one of: liability management or securitization. Strong command of Rule 144A/Reg S, disclosure drafting, and negotiations with issuers/underwriters/trustees. Capital markets experience at a top law firm and/or in‑house at a financial institution’s DCM or Securitization legal team. Strong analytical ability and attention to detail. High integrity—always does the right thing and sets the right tone. Highly motivated, energetic, and enthusiastic, with a desire to work in a high‑paced environment. Ability to prioritize conflicting demands. Ability to cut through complexity, be flexible and innovative in delivering solutions. Strong advocacy skills. Preferred Qualifications, Key Skills & Knowledge Prior in‑house seat embedded with a DCM desk or issuer; experience with CP & MTN programs and program documentation. Exposure to ABS/CLO or mortgage securitizations; comfort with warehouse/repurchase facilities. Year 1 Success Markers: Run OM/prospectus drafting with minimal supervision; negotiate UAs/purchase agreements end‑to‑end. Lead liability‑management transaction from NLTM to settlement (tender/exchange/consents). Run all legal support for securitization deals (or A/B exchange for a 144A issue) through closing.
