Capital Markets & Securities Associate Attorney
Direct Counsel is seeking a Capital Markets & Securities Associate Attorney to join a leading law firm’s sophisticated corporate practice. This opportunity is available in New York, NY or Chicago, IL .
Position OverviewThe firm is seeking a corporate attorney with 4–6 years of experience at a large law firm to join its Capital Markets and Securities practice. The ideal candidate will have substantial experience handling public and private debt and equity offerings, SEC reporting, and ongoing corporate governance and securities compliance matters.
Responsibilities- Advise public and private companies on capital markets and securities matters .
- Handle public and private debt and equity offerings .
- Draft and negotiate transaction documents and related securities filings.
- Advise public companies regarding Exchange Act reporting requirements .
- Counsel clients on day-to-day corporate governance matters.
- Advise clients regarding SEC and stock exchange compliance .
- Counsel public companies on disclosure obligations and related securities law requirements.
- Assist clients with other business and transactional matters as needed.
- Conduct legal research and provide practical advice regarding securities laws and regulations.
- Work collaboratively with corporate, transactional, and other practice groups on sophisticated client matters.
- 4–6 years of experience practicing at a large law firm.
- Significant experience with public and private debt and equity offerings .
- Experience with Exchange Act reporting .
- Experience advising clients on corporate governance matters .
- Knowledge of SEC and stock exchange compliance requirements .
- Experience advising public companies regarding disclosure obligations .
- Strong drafting, analytical, negotiation, and communication skills.
- Ability to manage sophisticated matters and competing deadlines.
- Admission to the New York or Illinois State Bar is required.

Compensation$310,000 – $390,000 annually , with the final offer dependent on experience, qualifications, and office location.
