Jobs Full Opportunity Brief Title: Counsel – Equity Management Category: Jobs Organiser: Jobgether (on behalf of a partner company) Description: This role serves as a vital legal and strategic function within a fast-growing wealth management organization, focusing on the design, implementation, and governance of equity compensation programs. The Counsel – Equity Management is responsible for ensuring that all equity-related structures, transactions, and documentation comply with applicable securities laws and regulatory frameworks. The position operates in a fully remote environment, combining high-level legal advisory work with operational execution. The successful candidate will lead equity management matters, providing legal interpretation of equity agreements and LLC provisions while partnering cross-functionally with Finance, HR, and Payroll teams. Key responsibilities include overseeing compliance for incentive units and profits interests, managing SEC reporting obligations such as Form D filings, and supporting the legal aspects of M&A transactions, including due diligence and the integration of equity awards. Eligibility: Juris Doctor (JD) degree from an accredited law school. Active U.S. bar membership. 4-8 years of legal experience specializing in securities law, corporate law, and equity compensation (in-house or law firm). Comprehensive knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules. Demonstrated experience drafting and negotiating equity plans, award agreements, and subscription documents. Strong analytical skills and the ability to manage complex cross-functional initiatives.
