Attorney, Private Equity Finance

(New York, NY) Represent & advise PE sponsors, portfolio
co’s, other borrowers in international & dom. transact., incl. corp. & working
capital financings, acq. financings, LBOs, dividend recaps, cross-border
financings. Prepare, review, negotiate engagement ltrs, commitment ltrs, fee ltrs,
term sheets on behalf of sponsor & borrower clients. Review, analyze, negotiate
principal transact. docs. Advise sponsors & portfolio co’s in conn. w/ granting,
perfection, maintenance, release of security interests, incl. coordinating w/
local counsel across multiple JDs. Advise borrower clients in conn. w/ ongoing
compliance oblig., incl. reporting req’s, financial covenant maintenance,
consent & waiver requests. Advise
sponsors & portfolio co’s in conn. w/ credit facility amendments,
extensions, refinancings, payoffs. Oversee due dilig. processes & closing
processes. $260,000 per year. Req’mts: JD or foreign equiv., NY Bar, 2 yrs of exp.
in position or 2 yrs. of alternate occupational exp. performing complex
