POSITION OVERVIEW -The Commercial Contracts Attorney will support the Procurement organization by drafting, reviewing, and negotiating a high volume of technology and commercial agreements. This individual will serve as a key legal partner to Procurement, IT, Security, Privacy, and other business teams. The ideal candidate will have significant experience with SaaS, IT procurement, software licensing, cloud technology, data privacy, and commercial contracting, along with strong business judgment and the ability to manage multiple agreements simultaneously in a fast-paced environment.

RESPONSIBILITIES
•    Draft, review, and negotiate a high volume of commercial agreements, with a focus on MSAs and SOWs for SaaS and IT procurement.
•    Act as the dedicated legal liaison for the NASB Procurement team.
•    Support additional commercial contract matters as needed, including marketing agreements, ad tech agreements, and financial agreements.
•    Collaborate closely with Procurement, IT, Security, and Privacy teams to assess vendor risks related to privacy laws, data security requirements, and AI governance.
•    Ensure consistent contract standards across the organization.
•    Develop and improve collaborative procurement processes, policies, and legal playbooks.
•    Stay current on developments in laws, regulations, and industry trends applicable to digital media and technology platforms.
•    Provide proactive legal guidance and manage legal risks while supporting business objectives.
•    Quickly understand complex products and services, identify key issues and risks, and provide creative solutions that enable the business.

REQUIRED SKILLS
•    Bachelor’s degree and Juris Doctor (J.D.) degree from a U.S.-accredited law school.
•    Licensed to practice law in New York.
•    Minimum of 8 years of legal experience with a law firm, in-house legal team, or combination of law firm and in-house experience.
•    Experience working with internet, technology, and/or media companies, particularly within a procurement or commercial contracting environment.
•    Extensive experience drafting, reviewing, and negotiating commercial agreements, particularly MSAs, SOWs, SaaS agreements, IT agreements, software licensing agreements, and vendor contracts.
•    Deep understanding of SaaS, software licensing, services agreements, internet technology, and cloud computing technology.
•    Excellent working knowledge of data privacy laws and emerging AI laws and regulations.
•    Strong understanding of vendor risk, data security, privacy, and AI governance considerations.
•    Excellent business and legal judgment, with the ability to assess risk and prioritize matters based on business impact and organizational needs.
•    Outstanding organizational skills and ability to manage a high volume of deals simultaneously while meeting deadlines.
•    Strong negotiation and communication skills, both written and verbal.
•    Ability to communicate complex legal issues clearly and effectively to business stakeholders.
•    Strong interpersonal skills and the ability to build trust and effective working relationships across the organization.
•    Ability to quickly understand complex products and services while identifying key legal and business risks.
•    Creative, solutions-oriented approach to problem solving and business enablement.
•    Comfortable working in an ever-changing, high-pressure, and fast-paced environment.
