Vice President, Data Center Counsel

Role Responsibilities

• Lead the legal strategy, negotiation, and execution of complex real estate and infrastructure transactions, including acquisitions, dispositions, site control, easements, development agreements, and leasing.
• Negotiate and advise on development agreements, construction contracts, consultant agreements, procurement arrangements, and other project delivery documentation supporting large-scale data center developments.
• Provide legal guidance on utility and infrastructure matters, including power procurement, utility service agreements, substations, interconnection, water, fiber, and other critical infrastructure.
• Partner with development, investments, finance, tax, construction, operations, and executive leadership to structure commercially practical solutions that balance legal risk with business objectives.
• Support sophisticated financing transactions, including joint ventures, construction financing, debt and equity structures, and other development-related capital arrangements.
• Advise on entitlement, zoning, land use, environmental, and redevelopment matters throughout the project lifecycle.
• Lead due diligence efforts related to title, survey, zoning, environmental, and development risks to support successful project execution and closings.
• Manage outside counsel and external advisors while helping establish scalable legal processes, documentation, and best practices to support continued platform growth.

Skillset Needed

• JD from an accredited U.S. law school and admission to practice law in at least one U.S. jurisdiction.
• 10+ years of transactional legal experience with significant exposure to complex real estate, infrastructure, development, or data center transactions.
• Demonstrated experience independently leading high-value transactions from structuring through negotiation and closing.
• Strong background negotiating development agreements, construction contracts, and other documentation supporting large-scale infrastructure or commercial developments.
• Experience advising on utility, energy, or infrastructure matters related to large-scale developments is highly desirable.
• Commercially minded with the ability to balance legal risk while delivering practical business solutions.
• Proven ability to collaborate with senior executives and cross-functional stakeholders in a fast-paced, evolving environment.
• Strong leadership, communication, and relationship-building skills, with experience managing outside counsel and mentoring legal professionals. xhyhwjd
• Experience within a large law firm, sophisticated in-house legal department, or a combination of both is preferred.
