Corporate Associate Attorney

A respected Chicago-based law firm is seeking a Corporate Associate Attorney to join its growing transactional practice. This is an excellent opportunity for attorneys who enjoy sophisticated corporate work, value a collaborative culture, and are looking for a long-term platform with meaningful opportunities for professional growth, client relationship development, and leadership. The ideal Associate candidate will have 4+ years of corporate transactional experience. The role will focus on M&A transactions, private equity matters, corporate formation and governance, and the drafting and negotiation of corporate and commercial agreements. Responsibilities Represent clients in M&A and private equity transactions, including drafting and negotiating purchase agreements, disclosure schedules, and related documents. Advise clients on corporate formation and structuring, including operating agreements, shareholder agreements, and buy/sell agreements. Provide guidance on corporate governance matters and general corporate compliance. Draft and review a broad range of corporate agreements and commercial contracts.
