What You Will Do Prepare and review fund formation documents, including limited partnership agreements, operating agreements, subscription documents, and side letters. Coordinate and manage investor onboarding processes, including KYC/AML compliance and subscription tracking. Assist with regulatory filings, including Form D, Form ADV, and other SEC and state filings. Maintain fund and entity records, including organizational charts and minute books. Coordinate closings and capital calls, including preparation of closing binders and investor communications. Conduct research on securities laws, investment adviser regulations, and fund‑related compliance matters. Interface directly with clients, fund administrators, and service providers to ensure seamless execution of fund‑related transactions. Develop and implement best practices for fund documentation, investor communications, and compliance workflows. Who You Are BA/BS degree. For applicants in California, Paralegal Certification in compliance with California Business and Professions Code Section 6450 required. Outside California, Paralegal Certification from ABA accredited institution preferred. 5+ years of experience in private investment funds or related legal practice. Expertise in fund administration platforms. Advanced proficiency with Microsoft Word and Excel; experience with document automation tools preferred. Strong organizational, verbal, and written communication skills. High level of attention to detail. Capable of handling multiple responsibilities at the same time. Adept at planning ahead and meeting deadlines. Ability to work well in a team‑oriented environment. Must consistently meet hours threshold. Deep understanding of private investment fund structures, investor onboarding, and regulatory frameworks. Ability to independently manage complex fund transactions and investor communications. Demonstrated ability to apply prior knowledge to new fund structures and client needs. Strong client service orientation with an understanding of fund sponsor and investor priorities. Proactive in staying informed of changes in fund‑related regulations and market practices. Skilled in managing multiple priorities and deadlines in a fast‑paced environment. Facile with technical tools, software, and programs associated with the function. Standard business hours with the flexibility to work after hours, including evenings and weekends as needed, and ability to work in‑office as required by the firm’s hybrid work guidelines. The target salary range for this position varies by location and is commensurate with relevant experience: Boston $103,000 - $141,000 | Los Angeles $123,000 - $170,000 | New York $107,000 - $147,000 | Orange County $123,000 - $170,000 | Philadelphia $94,000 - $129,000 | San Diego $123,000 - $170,000 | San Francisco $123,000 - $170,000 | Santa Monica $123,000 - $170,000.
