Corporate Paralegal

Cencora seeks a Corporate Legal Specialist II to provide legal services and project management support across contract, corporate, entity management, and securities matters. Reporting to an Associate General Counsel, the role involves managing corporate records, board governance, and transaction support in a hybrid position based in Pennsylvania.
Responsibilities
- Organize and maintain corporate minute books and records for US and international subsidiaries
- Manage annual reports, franchise tax filings, and entity qualification filings
- Support Treasury and Tax activities, including banking resolutions and entity restructurings
- Prepare documentation and coordinate due diligence for acquisitions, divestitures, and financing transactions
- Support Board and committee meeting preparation, charitable foundation governance, and policy implementation
Requirements
- Bachelor's degree required; paralegal certificate preferred
- Minimum four years of progressively responsible legal experience
- Experience in medium to large law firm or public company legal department
- Strong research, writing, and communication skills
- Proficiency with Microsoft Word, Excel, and PowerPoint
- Experience with legal entity management and board governance platforms
- Ability to handle confidential information and work independently
