This individual will work closely with the Chief Strategy Officer and senior leadership to identify, evaluate, and execute strategic initiatives that support Lumentum’s long-term strategy, growth and value creation.The role will span the full corporate development lifecycle, including strategic analysis, market and company evaluation, financial modeling, transaction structuring, due diligence, negotiations, internal alignment, and post-transaction integration execution. The successful candidate will be equally comfortable discussing strategy with the CEO and Board, analyzing a complex transaction model, engaging with investment bankers and legal counsel, and working with internal teams to translate strategy into action.Key ResponsibilitiesOverall:· Partner closely with the Chief Strategy Officer and executive leadership to develop and execute strategic initiatives on behalf of Lumentum.Financial/transaction analysis:· Identify and analyze potential M&A, divestiture, investment, joint venture, and strategic partnership opportunities.· Develop accurate and comprehensive financial analyses, including valuation, accretion/dilution, return analysis, scenario modeling, and sensitivity analysis for a broad range of potential transactions - with limited supervision.· Apply a strong understanding of accounting principles, capital structure, and the potential implications of strategic transactions for investors and Lumentum’s valuation.· Help prepare clear, concise, and compelling presentations for the CEO, Board of Directors, and executive leadership team that translate complex transactions, financial analyses, and strategic considerations into easily understood steps and recommendations.Execution:· Lead or support transaction processes from initial opportunity assessment through due diligence, valuation, negotiations, and integration.· Work closely with internal and external legal counsel to negotiate term sheets, letters of intent, purchase agreements, and other definitive documents.· Develop detailed internal and cross-company synergy plans, including clear execution requirements.· Partner with investment banks and internal stakeholders to evaluate and manage inbound opportunities and maintain an effective pipeline of potential transactions.· Support post-integration activities and help project manage complex integration efforts as requiredInternal Activities:· Build trusted relationships across Lumentum, including with the Business Units, Supply Chain, CTO Office, Finance, Legal, Sales, Operations, and Executive Leadership Team.· Develop a deep understanding of Lumentum’s businesses, products, technologies, customers, competitive environment, opportunities, and risks.· Combine high-level strategic thinking with a willingness to engage deeply in the technical and operational details that drive Lumentum’s success.· Use detailed knowledge of Lumentum’s business and the broader optical communications and semiconductor industries to develop well-informed perspectives on potential corporate development opportunities and build internal consensus.Additional Traits:· Manage multiple projects in a fast-paced environment, maintaining strong organization, attention to detail, and follow-through on action items.· Take initiative and be a self-starterQualifications· At least five years of experience in corporate development, investment banking, or a related field; greater experience may be expected for candidates being considered at the Vice President level.· Prior corporate development experience at a public company preferred.· Experience in the optical communications, photonics, semiconductor, electronics, or broader technology industries strongly preferred.· Hands-on experience leading deals from start to finish· Creativity – Ability to creatively solve complex financial and business problems and develop practical solutions.· Demonstrated ability to operate effectively in ambiguous and rapidly changing situations while developing actionable recommendations based on incomplete or uncertain information.· Strong financial modeling skills and a deep understanding of valuation, accounting, accretion/dilution analysis, and transaction structures.· Excellent written and verbal communication skills, including the ability to communicate complex financial and strategic issues clearly to senior executives and Board members.· Proven ability to exercise sound judgment, work independently, and manage sensitive and confidential information.· Strong interpersonal and relationship-building skills, with the ability to collaborate effectively across functions and influence stakeholders without direct authority.· Exceptional attention to detail and organizational skills, with the ability to manage competing priorities and maintain high-quality work under tight deadlines.· Bachelor’s degree in finance, accounting, economics, business, engineering, or a related field required.
