Associate Attorney, M&A / Corporate Practice Group

Cullen and Dykman LLP is seeking a mid- to senior-level corporate associate (class years 2018 to 2024) to join its Mergers & Acquisitions and Corporate practice groups. The associate will work closely with both chairs of the M&A practice on a mix of M&A transactions representing both buyers and sellers, including private equity and strategic transactions, along with general transactional and corporate matters. This position is available in either our Uniondale, Long Island or New York City offices.

Responsibilities:

• Represent buyers and sellers in M&A transactions across a range of industries, including private equity-backed transactions, strategic transactions and industry specific acquisitions in higher education, utilities and other niche areas.
• Draft and negotiate a wide range of corporate documents, including stock and asset purchase agreements, merger agreements, shareholders agreements, operating agreements, investor rights agreements, and related ancillary, transitional and other agreements and side letters, certificates, resolutions, etc.
• Advise on general corporate matters, including entity formation, governance, compliance, and commercial agreements.
• Interact directly with clients, including founders, portfolio company executives, sponsors, and family offices.
• Analyze corporate M&A legal and regulatory issues and conduct related research in support of client matters.

Qualifications:

• Admitted and in good standing in New York; New Jersey bar admission is a plus.
• 2 to 8 years of relevant M&A experience, required.
• Strong drafting, negotiation, analytical, organizational, project management, and communication skills.
• Ability to work efficiently in a collaborative, entrepreneurial, and fast-paced environment.
• Familiarity with corporate M&A reference materials and electronic resource tools.
• Candidates should be prepared to provide a representative deal sheet outlining relevant transaction experience and level of involvement.

The salary range for this position is $175,000 to $225,000, commensurate with experience. Actual compensation will be determined based on the candidate's qualifications and relevant experience. We offer a competitive salary, excellent benefits, and a collaborative, client-focused environment.
