Job Description Draft and negotiate a broad range of M&A transaction documents, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and related transaction documents. Manage key aspects of sophisticated mergers, acquisitions, and corporate transactions. Analyze corporate and transactional legal issues while providing practical business-oriented advice. Conduct legal research related to corporate M&A matters as needed. Collaborate closely with partners, clients, opposing counsel, and internal teams throughout transactions. Prepare resolutions, certificates, side letters, and ancillary transaction documents. Maintain exceptional client service while managing multiple priorities in a fast-paced environment. Qualifications JD from an accredited law school. Bachelor's degree. Admitted to practice law in New York. Approximately 2+ years of significant corporate M&A experience. Law school graduation approximately between 2019 and 2021. Strong drafting, negotiation, analytical, and communication skills. Stable employment history with reputable law firms strongly preferred. Ability to manage multiple complex transactions while maintaining exceptional attention to detail.
