Healthcare Associate AttorneyDirect Counsel is seeking a Healthcare Associate Attorney with 1–4 years of experience to join a well-established California law firm with a sophisticated healthcare practice in its Sacramento office. The firm advises healthcare providers, businesses, and organizations on a broad range of regulatory, compliance, transactional, and operational matters. This role offers meaningful responsibility and the opportunity to work closely with experienced healthcare attorneys on complex and sophisticated client matters.Position OverviewThe Healthcare Associate Attorney will advise healthcare providers and healthcare businesses on federal and California healthcare laws and regulations, as well as assist with strategic transactions, corporate matters, regulatory compliance, and day-to-day operational issues.The firm's healthcare clients include hospital systems, ambulatory surgery centers, medical foundations, healthcare management companies, physicians and physician groups, behavioral health providers, durable medical equipment suppliers, and other healthcare and healthcare-aligned organizations.ResponsibilitiesAdvise healthcare providers and businesses on federal and California healthcare laws and regulationsCounsel clients regarding provider licensing, Medicare and Medi-Cal enrollment, reimbursement, corporate practice of medicine, Cost and Market Impact Review requirements, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, and other healthcare compliance mattersConduct legal research and prepare memoranda, client correspondence, and practical legal analysesAssist with healthcare mergers and acquisitions, affiliations, restructurings, and other strategic transactionsConduct regulatory due diligence and assist with change-of-ownership (CHOW) matters and post-closing implementationDraft, review, and negotiate healthcare and corporate agreements, including management services agreements, professional services agreements, physician employment agreements, medical director agreements, purchase agreements, operating agreements, and other commercial contractsAdvise clients regarding corporate governance, entity formation, organizational structure, and day-to-day operational mattersConduct legal due diligence, including review of contracts, licenses, regulatory filings, and corporate recordsPrepare organizational documents, board and member resolutions, and transaction-related documentsCommunicate and coordinate with clients, government agencies, opposing counsel, consultants, and other advisorsManage multiple matters simultaneously while providing responsive, practical, and business-oriented legal counselContribute to client alerts, presentations, business development initiatives, and other practice group activitiesQualificationsJ.D. from an accredited law schoolActive membership in good standing with the California State Bar1–4 years of experience in healthcare regulatory, compliance, or corporate transactional lawExperience advising clients on healthcare regulatory matters preferredExposure to one or more of the following preferred: provider licensing, Medicare or Medi-Cal enrollment, reimbursement, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA, or general healthcare complianceExcellent legal research, writing, drafting, analytical, and communication skillsStrong attention to detail and ability to manage multiple matters and deadlinesExcellent interpersonal skills and a collaborative, client-focused approachAbility to work independently while functioning effectively as part of a teamCompensationSalary: $160,000–$190,000, commensurate with experience.LocationSacramento, CA
