Corporate Paralegal

Varnum LLP, a Michigan-based, full-service law firm with over 225 attorneys and 6 offices, has a full-time opening for an experienced Paralegal to join our Corporate practice team. The Corporate Paralegal will assist multiple corporate attorneys focusing on mergers and acquisitions in all aspects of deal work and general corporate matters, including entity formation, deal structure, UCC, drafting closing documents and corporate resolutions, closing preparation and closing books.

Key Responsibilities:

• Prepare, edit, and file state and federal corporate and regulatory filings, ensuring completion and accuracy.
• Maintain calendar of compliance deadlines and other pertinent dates.
• Support attorneys with transactions, including but not limited to mergers and acquisitions, private offerings, and capital restructuring.
• Draft, review, and organize transaction documents such as resolutions, consents, certificates, and closing checklists.
• Coordinate due diligence processes, including document collection, review, and organization.
• Prepare and maintain corporate minute books, entity records, and organizational documents.
• Assist with entity formation, qualification, dissolution, and annual report filings across multiple jurisdictions.
• Communicate with clients, government agencies, and third parties as needed to facilitate filings and transactions.

Qualifications:

• Bachelor's degree and/or paralegal certificate preferred.
• Minimum of 3-5 years of experience as a Corporate Paralegal.
• Strong organizational skills and attention to detail, with the ability to manage multiple transactions and deadlines simultaneously.
• Excellent written and verbal communication skills.
• Proficiency with legal document management systems and standard office software (e.g., Microsoft Office Suite).
• Familiarity with state filing portals and corporate registry databases.
• Ability to work both independently and collaboratively within a team environment.
• Experience with iManage, Aderant, Intapp, DealCloud, DocuSign, SimplyAgree, and/or BEC Legal a plus.
