Transactional Paralegal
Jimerson Birr, P.A.
Transactional Paralegal Department: Legal Operations Employment Type: Full Time Location: Jacksonville, Florida Description At Jimerson Birr, our team has accepted the lasting responsibility of protecting our clients’ rights, businesses, properties, investments, and finances. In both established and emerging businesses, our professionals are integral, trusted advisers and advocates, giving our clients insights into legal and business considerations that guide prudent decision‑making. We work with some of the world’s most respected and well‑established businesses, as well as start‑up visionaries, and individuals looking to overcome challenges. Our award‑winning law firm is at its best when it helps clients set measurable goals and develops multi‑level strategies to achieve them. Our lawyers are trained to take ownership of our client’s challenges by getting close to the problem and close to the people who can benefit from the solutions we provide. We’re business‑oriented lawyers equally comfortable as community leaders, private transaction counselors, or courtroom advocates. We pride ourselves on our people and their collective achievements. Besides our long list of legal industry honors, the firm has a track record spanning over a decade winning local, state, and national awards for being a “Best Company to Work For,” “Fastest Growing Company,” and “Best Law Firms in America.” Our atmosphere and award‑winning firm culture are collegial and professional, and our shared commitment to professional development is superior to our contemporaries. About the Position We are looking for a Transactional Paralegal to power the day‑to‑day delivery of Legal Longevity , our membership‑based legal service within General Business Advisory. Think of it as outside, in‑house counsel: rather than billing by the hour, we deliver recurring, predictable‑priced legal support that helps clients prevent problems before they start. This is a role for someone who does their best work when the path is clear, the cadence is steady, and efficiency is the point, someone who takes a defined matter plan, runs it with precision, and keeps the work moving at a strategic, repeatable pace. Working on a quarterly cadence, you will execute established workflows consistently and reliably, focusing on high‑quality, repeatable output rather than reinventing processes for each matter. Technology is central to this role, and you will leverage AI and automation to deliver efficient, high‑quality work while keeping client pricing predictable; if you are organized, detail‑driven, tech‑savvy, and energized by doing repeatable work well, and finding smarter, faster ways to do it, this role is built for you. Key Responsibilities Execute recurring transactional and advisory matters on a steady quarterly cadence, working through defined matter plans and established workflows for corporate, employment, contracts, and operational matters with consistency and precision. Prepare and review contracts, agreements, corporate governance documents, and employment handbooks and policies using firm templates and checklists. Handle entity formation and maintenance: form entities, file annual reports and registered‑agent updates, and keep corporate records and minute books current and audit‑ready. Prepare and process UCC filings, trademark and operational filings, and other regulatory and corporate filings accurately and on schedule. Leverage AI and automation tools to execute repeatable work efficiently and accurately. Maintain organized files and file architecture, update matter data daily, and move tasks through work queues and dashboards in Litify (matter management software). Track deadlines, approvals, signatures, and budget‑to‑date figures across multiple active matters; flag issues early and elevate appropriately. Serve as a reliable client‑communication conduit—deliver routine status updates, keep portals and data rooms accurate, and uphold the firm’s responsiveness standards. Contribute to process and product improvement: identify inefficiencies, propose smarter ways to run repeatable work, and help refine templates, checklists, and workflows, including new uses of AI and legal technology. Deliver assigned work on time and to firm quality standards within each quarterly cycle, tracking time and effort accurately. Who You Are You’re steady and execution‑driven, taking pride in doing repeatable, well‑defined work quickly and correctly the first time. You’re process‑mindful and thrive in structured, systematic environments— you trust workflows that work, follow matter plans and checklists as designed, and use systems to move faster rather than around them. You’re analytical, precise, and detail‑oriented, communicating in a factual, straightforward, and direct way and surfacing problems early rather than after the fact. You stay organized and composed under volume, managing many active matters and competing deadlines methodically without losing track of the details. You’re business‑literate, with enough understanding of business structures, contractual terms, and regulatory frameworks to anticipate what comes next in a matter. You’re tech‑savvy and AI‑forward; you actively use AI, automation, and matter‑management tools to work faster and more accurately, and you see technology as essential to delivering predictable‑cost legal work, not an afterthought. You’re improvement‑mindful and innovative— you spot opportunities to do repeatable work better and bring forward practical ideas, especially around technology and automation, while still respecting the consistency the model depends on. Skills, Knowledge and Expertise Qualifications Paralegal certificate, associate’s, or bachelor’s degree, or equivalent relevant experience, preferred Paralegal experience in transactional, corporate, or business law, with demonstrated comfort executing routine, repeatable transactional work Working knowledge of corporate law fundamentals: entity formation and maintenance, corporate governance, and corporate records management Familiarity with commercial contracts and UCC filings Strong contract drafting and review skills, with a focus on accuracy and consistency against templates and firm standards Exceptional organizational and communication skills, with a high level of professionalism and the ability to manage multiple active matters and deadlines simultaneously AI and technology proficiency, comfort and skill with AI and legal‑technology tools, and a demonstrated ability to integrate them into daily work to improve speed, accuracy, and cost‑efficiency; this is central to how Legal Longevity delivers value Proficiency with document automation, e‑filing, and matter management systems; Litify/Salesforce experience preferred Familiarity with Florida entity and Secretary of State filing systems preferred Strong attention to detail and accuracy Ability to maintain confidentiality with sensitive information Ability to work independently and as part of a small, collaborative team Benefits Here, you’ll work in an environment that values service, quality, and results, recognized as one of the Best Places to Work in Florida for six consecutive years. You’ll have clear processes to execute, the tools to do your best work, and a team that values getting repeatable work done right, fast, and smarter every quarter.
