FID Secured Lending, Structure and Execution Lawyer (Corporate/CRE) - Vice President

Position Description The FID Secured Lending Group ("FSL") is seeking a Structure and Execution Management lawyer to execute secured financing transactions involving various asset classes such as ABS, unsecured consumer loans, transportation, and receivables. The role involves working with bankers, syndication, asset management, internal credit, legal, compliance, tax, accounting, and supervising outside counsel. Primary Responsibilities Drive execution of FSL transactions (term and warehouse finance, repos, syndication, securitizations) by managing legal/documentation issues. Advise on structure of lending transactions considering legal, regulatory, tax, and other considerations. Identify, evaluate, and mitigate legal risks related to collateral assets, lien perfection, and enforceability of security interests. Work with external counsel to prepare transaction documentation (repos, credit agreements, security agreements, servicing agreements, indentures, offering memorandums, NPAs). Draft, review, and negotiate term sheets, engagement letters, NDAs. Collaborate with internal counsel to manage legal risks. Lead documentation negotiations with clients. Liaise with internal functions to facilitate loan funding and settlement of transfers. Work with securitization/syndication teams to facilitate exit. Additional responsibilities: prepare and present material to internal committees, FSL senior management, audit, regulators; maintain documentation precedents and templates; maintain best practices and internal policies. Skills Required JD and admitted to the bar in any state. 5+ years of experience in lending, corporate and/or capital markets at a major law firm or large financial institution. Great familiarity with structured finance and secured lending transactions. Commercially driven with excellent verbal and written skills. Ability to build effective working relationships with senior management and cross‑functional teams. Proven leadership to manage multiple projects under pressure. Sound judgment, organizational skills, and ability to manage competing priorities. Comfortable operating in a business‑facing, fast‑paced deal environment. Benefits Expected base pay $160,000–$250,000 per year for Vice President level. Compensation may include commission earnings, incentive compensation, discretionary bonuses, short‑term and long‑term incentive packages, and Morgan Stanley‑sponsored benefit programs.
