Senior Corporate Paralegal

Consilio's Direct Hire Division is partnering with a top law firm to identify a Corporate Specialist to support its Emerging Companies & Venture Capital (ECVC) practice. This role will manage complex corporate transactions, entity maintenance, and venture-backed company matters while serving as a key resource to attorneys and clients. Hybrid schedule: 3 days in office / 2 days remote Compensation: Key Responsibilities Support M&A, venture capital financings, private equity, reorganizations, and capital markets transactions. Manage due diligence, data rooms, closing checklists, signature collection, and closing binders. Prepare and maintain corporate governance documents, including board consents, minutes, and resolutions. Handle entity formations, dissolutions, qualifications, and annual compliance filings. Manage capitalization tables, stock issuances, transfers, and equity records. Prepare UCC filings, Secretary of State filings, SEC Form ID applications, Form D filings, and Blue Sky filings. Communicate directly with clients and supervise junior support staff as needed. Qualifications Bachelor's degree required. 7+ years of corporate paralegal/specialist experience in a law firm or corporate legal environment. Emerging Companies & Venture Capital (ECVC) experience required. Strong experience with M&A transactions, venture financings, corporate governance, and due diligence. Advanced knowledge of Carta required; experience with Pulley, AngelList, and Cake preferred. Familiarity with SEC EDGAR, Delaware corporate filings, UCCs, and Blue Sky compliance.
