Position Title: Director, Corporate Development & Strategy

Base Salary: $135,000 to $195,000 annually DOE

Bonus: Target annual bonus

Job Summary

The Director, Corporate Development & Strategy plays a critical leadership role in advancing Ziply Fiber’s inorganic growth and corporate strategy agenda, operating at the center of the company’s most consequential executive and Board-level decisions. Reporting to the Vice President, Corporate Development & Strategy, this role supports the development and execution of the company’s M&A, partnership, and investment strategy.

The Director leads complex transactions and strategic initiatives, driving end-to-end execution from evaluation through closing, while partnering closely with executive leadership to inform key business decisions. This role requires deep deal execution experience, strong business judgment, and the ability to influence outcomes across the organization.

Corporate Development — M&A, Investments & Partnerships

· Build and manage a pipeline of acquisition, investment, partnership, and other inorganic growth opportunities aligned with company strategy.

· Conduct market research to identify and evaluate potential targets and partners.

· Develop strategic rationale and investment thesis for prospective transactions.

· Prepare detailed business cases, including operating plans, value creation opportunities, and integration considerations.

· Lead cross-functional due diligence efforts in collaboration with Finance, Legal, Operations, Technology, Construction, and external advisors.

· Perform financial modeling, valuation, and scenario/sensitivity analyses to support decision-making and negotiations.

· Support transaction execution through signing and closing and assist with post-close integration planning.

· Prepare materials for internal investment committee and Board-level approvals.

· Partner with the Vice President, Corporate Development & Strategy to shape origination priorities and proactively source high-value M&A, investment, and partnership opportunities.

· Serve as deal lead on complex transactions, managing negotiations, structuring, and execution in coordination with the Vice President and senior leadership.

· Provide recommendations on transaction structuring, risk assessment, and value creation planning to support executive decision-making.

Corporate Strategy & Analysis

· Frame complex, ambiguous strategic questions into clear problem statements, hypotheses, and structured work plans.

· Build financial and decision-support models to evaluate strategic options and inform leadership decisions.

· Develop executive-level presentations that communicate insights, recommendations, and implications with clarity and confidence.

· Partner with internal business leaders to build alignment and drive execution of strategic priorities.

· Support translation of enterprise strategy into actionable corporate development priorities, investment themes, and strategic initiatives.

· Evaluate and prioritize strategic growth opportunities, including new markets, capabilities, and business models.

Strategic Growth

· Support Ziply Fiber’s fiber-first expansion strategy through disciplined evaluation of acquisitions, investments, partnerships, and other growth structures.

· Analyze competitive market dynamics and translate insights into actionable strategic recommendations.

· Strengthen internal processes, tools, and templates for opportunity evaluation, financial modeling, diligence, and integration planning.

· Drive long-term inorganic growth strategy aligned with company objectives and market opportunities.

· Identify and prioritize strategic growth platforms, including new markets, capabilities, and business models.

Operating Rhythm & Team

· Establish and maintain a disciplined operating cadence across active workstreams, including milestones, risks, decisions, and next steps.

· Maintain high-quality documentation and repeatable processes to support institutional learning and scalability.

· Mentor and develop cross-functional team members and contribute to building a high-performing Corporate Development and Strategy function.

· Support the Vice President in building and scaling the Corporate Development & Strategy function, including contributing to prioritization, resourcing, and capability development.

· Help establish and reinforce governance frameworks for investment decisions, diligence processes, and post-transaction accountability.

· Lead cross-functional teams and workstreams, ensuring alignment and successful execution of strategic initiatives.

Other Duties

· Performs other duties as required to support the business and evolving organization.

Required Qualifications:

· Bachelor’s degree in Business, Finance, Economics, Engineering, or a related quantitative field.

· Ten (10) to fifteen (15) years of experience in corporate development, investment banking, private equity, management consulting, corporate strategy, or strategic finance. Proven track record of leading end-to-end M&A transactions, including deal execution, negotiation support, and closing.

· Deep expertise in financial modeling, valuation, and investment analysis.

· Demonstrated experience influencing executive leadership and contributing to enterprise-level strategy.

· Strong leadership capability with experience leading cross-functional teams and complex initiatives.

· Exceptional communication skills with ability to influence at the executive and Board level. Bias for action with a track record of driving rigorous, high-quality work to completion.

Preferred Qualifications:

· MBA, JD, or other advanced degree strongly preferred.

· Prior experience in corporate development or strategy within a scaled or high-growth environment.

· Experience supporting multiple transactions or strategic initiatives concurrently.

· Telecommunications, broadband, or infrastructure industry experience.

· Experience supporting post-transaction integration and value capture.

· Strong verbal and written communication, attention to detail, and organizational skills.

· Advanced analytical and financial modeling capabilities with a strong understanding of financial statements and business economics.

Work Environment

Work is performed in an office setting with exposure to computer screens and requires extensive use of a computer, keyboard, mouse, and multi-line telephone system. The work is primarily a modern office setting.
