Senior Legal LeaderKastle Systems is seeking a senior legal leader who can operate at the intersection of revenue growth, product innovation, and risk management.ResponsibilitiesCommercial & Revenue Partnership (Primary Focus)Serve as the lead legal partner to Sales and Revenue leadership, enabling efficient deal execution and supporting complex customer negotiations.Draft, review, and negotiate high-volume, high-value commercial agreements, including:Enterprise customer contractsConstruction and real estate-related agreementsTechnology and SaaS agreementsStrategic partnerships and vendor agreementsEstablish scalable contract frameworks, playbooks, and fallback positions to increase deal velocity and consistency.Provide clear, actionable guidance on risk trade-offs to support informed business decisions.Executive Legal Counsel & Business AdvisoryAct as a trusted advisor to the Board, Co-Chairmen, CEO, CRO, CFO, CHRO, and broader executive team.Provide counsel on a range of matters including:Corporate transactions and strategic initiativesInternational and domestic commercial activity and expansionRegulatory considerations and emerging risksTranslate legal complexity into practical business guidance aligned with company objectives and risk tolerance.Intellectual Property (Key Secondary Focus)Lead strategy and execution for Kastle's intellectual property portfolio, including:Patents, trademarks, and copyrightsProtection of proprietary technology and product innovationsPartner with product and engineering teams to ensure IP considerations are embedded early in development.Coordinate with external counsel on filings, enforcement, and portfolio management.Risk Management, Compliance & GovernanceOversee legal aspects of compliance, including:Government contracting requirements (e.g., GSA)Licensing, regulatory, and operational risk considerationsData Privacy/Information SecurityImplement practical, scalable risk management frameworks aligned to business needs.Support corporate governance activities and ensure adherence to internal policies and regulatory requirements.Litigation & External Counsel ManagementManage litigation and dispute resolution in partnership with outside counsel.Select, engage, and oversee external legal partners to ensure high-quality, cost-effective support.Coordinate specialized legal areas (employment, international law, M&A) through appropriate internal stakeholders and external advisors.International & Cross-Border SupportProvide legal oversight for international commercial transactions and customer engagements.Identify and manage risks related to cross-border sales, data privacy, and regulatory requirements.Partner with external counsel in foreign jurisdictions as needed.Corporate Transactions & Capital StrategyProvide legal leadership and support for corporate transactions, including mergers and acquisitions, strategic investments, joint ventures, and divestitures.Partner with executive leadership and external advisors on capital markets and debt financing activities, including credit facilities, refinancing, and lender negotiations.Lead or coordinate legal diligence, transaction structuring, negotiation, and execution for complex deals, ensuring alignment with business strategy and risk tolerance.Support the company's long-term growth strategy by advising on transaction readiness, governance, and deal execution frameworks.Shared Services & Enterprise SupportProvide occasional legal input on matters impacting affiliated entities in coordination with leadership.Support enterprise-wide initiatives where legal alignment across entities is beneficial.QualificationsJuris Doctor (JD) from an accredited law school; active bar membership required.10–15+ years of legal experience, including:Significant experience in commercial contracting preferredCombination of law firm and in-house experience preferredExperience supporting sales organizations and high-volume contract environments.Background in real estate, construction, prop-tech, or technology-enabled services strongly preferred.Demonstrated expertise in intellectual property strategy and management.Experience with international commercial transactions and cross-border legal considerations.Demonstrated experience supporting corporate transactions, including M&A, strategic investments, or joint ventures.Experience advising on or supporting debt financing, credit agreements, or capital markets transactions (public or private).Strong understanding of transaction structuring, due diligence processes, and deal execution in a growth-oriented environment.Ability to effectively partner with the board, executive leadership, investors, lenders, and external advisors on complex financial and strategic transactions.Proven ability to operate effectively in a fast-paced, growth-oriented environment with evolving priorities.Leadership Profile & CapabilitiesBusiness-first mindset: Balances legal rigor with commercial pragmatism.Comfort with pace and ambiguity: Thrives in environments with high deal volume and evolving priorities.Risk calibration: Understands how to assess and communicate risk in a way that enables—not blocks—growth.Executive presence: Credible, trusted advisor to senior leadership and external stakeholders.Leadership – As the Company grows at a fast pace and potentially consolidates the legal function across both businesses, the legal group will grow and the GC will need to be a strong leader of the group and a very effective recruiter of new talent, manager with the ability to motivate and retain a world-class team.Operational scalability: Builds processes, playbooks, and systems that scale with the business.Collaborative influence: Works seamlessly across Sales, Product, Finance, HR, and Operations.Ownership mentality: Operates with autonomy and accountability, with limited need for oversight.Company OverviewKastle Systems is the leader in managed security, with a track record of introducing innovative technologies to serve over 460M square feet of real estate globally.
