About the Role
The Company is seeking an Associate General Counsel, Corporate to lead its corporate legal function with a focus on corporate governance, public company readiness, and strategic transactions. The successful candidate will be responsible for a range of critical tasks, including board administration, entity management, M&A support, corporate transactions, and leadership of the corporate legal team. This role demands a professional with a JD degree, at least 10 years' of relevant experience, and a strong background in securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX compliance. The ideal candidate will have a mix of experience in late-stage private and public companies, and a preference for those with a background in the technology or SaaS industry. Key responsibilities for the Associate General Counsel, Corporate at the company include managing the preparation for board and committee meetings, overseeing the corporate structure and subsidiary governance, leading legal due diligence in M&A, and driving the company's public readiness. The role also involves negotiating and drafting complex commercial agreements, financing documents, and other strategic transactions.
